  • This Contingent Warrant shall be exercisable in a single exercise at any time after the earlier to occur of (i) a Put Trigger Event, and (ii) the fifth anniversary date of the Closing Date, but on or before the Warrant Expiration Date.

Put Trigger Event means (1) the formal filing by a governmental Authority of a complaint or instituting an action that specifically alleges, or a court of competent jurisdiction enters a judgment (whether or not the action giving rise to such judgment is brought by a governmental Authority) finding that, the Company or any of its Subsidiaries (i) engaged in or authorized or permitted any Affiliate or any other Person acting on its or their behalf to engage in any Sanctionable Practice with respect to the Company or any of its Subsidiaries; (ii) entered into any transaction or engaged in activity prohibited under Section 3.03(d) or (iii) failed to comply with Section 3.03(f); or (2) an indictment of the Company or any of its Subsidiaries issued under the laws of the United States charging the Company or any of its Subsidiaries with the conduct described in clauses (1)(i), (ii) or (iii) above, regardless of whether such conduct occurred prior to or after the date hereof;
Put Trigger Event means the first to occur of any of the following events: (i) the fifth anniversary of the Closing Date; (ii) a Disposition; (iii) a Non-Surviving Combination; (iv) the date upon which the Sellers prepay in full the Principal Amount, Interest and Assessments, if any, on the Note; or (v) Acceleration of the payment of the Note.
Put Trigger Event means the earliest to occur of: (a) the failure of Rentech to redeem the Shares and pay to the Optionee the Redemption Price of such Shares on the Redemption Date pursuant to the Articles of Amendment whether or not such payment or redemption is legally permissible or is otherwise prohibited; (b) any voluntary or involuntary liquidation, dissolution or winding up of Rentech; (c) Rentech (i) becomes insolvent or admits in writing its inability to pay its debts as they become due; (ii) becomes subject to any proceeding under any bankruptcy or insolvency law, and such proceeding is commenced, applied for or consented to by Rentech or, in the case of an involuntary proceeding, an order for relief is entered therein or such involuntary proceeding otherwise continues undischarged or unstayed for sixty (60) calendar days; (iii) makes an assignment for the benefit of creditors; or (iv) has a receiver, trustee, custodian or similar agent appointed by order of any court of competent jurisdiction to take charge of or sell any material portion of its property or business, and such appointment is applied for or consented to by Rentech or otherwise continues undischarged or unstayed for sixty (60) calendar days; (d) the failure of the Company to comply in all material respects with any of its obligations under Section 9(d), 10, 21, 22, 23, 24 or 31 of the Company LLC Agreement (it being understood that the phrase “comply in all material respects” as used in this sub-clause (d) contemplates that a breach thereof involves a matter that materially increases the risk or likelihood that a court would disregard the separate legal existence of Rentech and the Company); (e) the failure of the Company to comply in all material respects with any of its obligations under Sections 6(b), 6(d), 6(e) or 6(f) of the Pledge Agreement; (f) the material failure of any of the Company’s representations or warranties set forth in Sections 5(a) or 5(b) of the Pledge Agreement to be true and correct at any time; or (g) the failure of Rentech to purchase the Shares and pay to the Optionee the COC Put Price for such Shares on the COC Put Date pursuant to the Subscription Agreement whether or not such payment or purchase is legally permissible or is otherwise prohibited.
Put Trigger Event has the meaning set forth in Section 2.9(d).
Put Trigger Event means at any time following (i) January 1, 2017, (ii) a TPG Change of Control, (iii) the removal of the Company as “Manager” of the Venture pursuant to Section 2.04 of the Venture Agreement, (iv) the exercise by CalSTRS of any of its rights pursuant to Section 10.2 of the Venture Agreement following an “Event of Default” (as defined in the Venture Agreement) by the Company, (v) any event which triggers Madison Member’s right to remove the Managing Member pursuant to Section 7.02, (vi) a breach in any material respect by TPG Member or any Affiliate of TPG Member of any representation, warranty or covenant set forth in the Subscription Agreement, (vii) any action taken by, or event affecting, TPGI or any of its subsidiaries which would result in any Transfer with respect to Madison Member otherwise permitted hereunder being restricted or prohibited under the terms of the Venture Agreement, or (viii) a breach by TPGI of any representation, warranty, covenant or agreement in any material respect set forth in the Registration Rights Agreement or the Stockholders Agreement, beyond any applicable notice and cure periods in the Registration Rights Agreement or the Stockholders Agreement, as applicable, except in the case of subsections (vi) and (viii) hereof if Madison Member has been fully and adequately compensated for losses incurred as a result of such breach in a manner and amount determined by Madison Member in its sole and absolute discretion and such breach is not continuing.
Put Trigger Event means, the occurrence of any of the following: (i) the third anniversary of the HTEC Closing, (ii) the date of the actual consummation of a Change of Control; (iii) the Excess Distribution Date; AmericasActive:15983729.1 (iv) an Excess Leverage Date; provided, however, that with respect to any Excess Leverage Date, such Excess Leverage Date shall only constitute a Put Trigger Event so long as the applicable Excess Leverage Period exists thereafter; and (v) a GTLS Bankruptcy Action.
