Put Trigger Event definition

Put Trigger Event means:
Put Trigger Event means (1) the formal filing by a governmental Authority of a complaint or instituting an action that specifically alleges, or a court of competent jurisdiction enters a judgment (whether or not the action giving rise to such judgment is brought by a governmental Authority) finding that, the Company or any of its Subsidiaries (i) engaged in or authorized or permitted any Affiliate or any other Person acting on its or their behalf to engage in any Sanctionable Practice with respect to the Company or any of its Subsidiaries; (ii) entered into any transaction or engaged in activity prohibited under Section 3.03(d) or (iii) failed to comply with Section 3.03(f); or (2) an indictment of the Company or any of its Subsidiaries issued under the laws of the United States charging the Company or any of its Subsidiaries with the conduct described in clauses (1)(i), (ii) or (iii) above, regardless of whether such conduct occurred prior to or after the date hereof;
Put Trigger Event means any of the following:

Examples of Put Trigger Event in a sentence

  • This Contingent Warrant shall be exercisable in a single exercise at any time after the earlier to occur of (i) a Put Trigger Event, and (ii) the fifth anniversary date of the Closing Date, but on or before the Warrant Expiration Date.

  • The Company must notify Subscriber five business days prior to a proposed Put Trigger Event and promptly commensurate with a Put Trigger Event.

  • Subscriber has the right to exercise the Put Right within 15 days after receiving notice that a Put Trigger Event has occurred, and if notice of exercise is not received within such 15-day period, the Put Right with respect to such Put Trigger Event shall terminate.

  • Should the Lender fail to exercise the Put Right within 10 Business Days of it becoming aware of a Put Trigger Event, the Lender shall nevertheless be entitled to exercise the Put Right following the next Put Trigger Event, if any.

  • If F3 Opportunities does not exercise the Put Option within the time period set forth above, then the Put Option with respect to such Put Trigger Event shall terminate.


More Definitions of Put Trigger Event

Put Trigger Event means a Change of Control involving KCAP.
Put Trigger Event means the earliest to occur of: (a) the failure of Rentech to redeem the Shares and pay to the Optionee the Redemption Price of such Shares on the Redemption Date pursuant to the Articles of Amendment whether or not such payment or redemption is legally permissible or is otherwise prohibited; (b) any voluntary or involuntary liquidation, dissolution or winding up of Rentech; (c) Rentech (i) becomes insolvent or admits in writing its inability to pay its debts as they become due; (ii) becomes subject to any proceeding under any bankruptcy or insolvency law, and such proceeding is applied for or consented to by Rentech or otherwise continues undischarged or unstayed for sixty (60) calendar days; (iii) makes an assignment for the benefit of creditors; or (iv) has a receiver, trustee, custodian or similar agent appointed by order of any court of competent jurisdiction to take charge of or sell any material portion of its property or business, and such appointment is applied for or consented to by Rentech or otherwise continues undischarged or unstayed for sixty (60) calendar days; (d) the failure of the Company to comply in all material respects with its obligations under Section 9(d), 10, 21, 22, 23, 24 or 31 of the Company LLC Agreement (it being understood that the phrase “comply in all material respects” as used in this sub-clause (d) contemplates that a breach thereof involves a matter that materially increases the risk or likelihood that a court would disregard the separate legal existence of Rentech and the Company); (e) the failure of the Company to comply in all material respects with its obligations under Sections 6(b), 6(d), 6(e) or 6(f) of the Pledge Agreement; or (f) the material failure of any of the Company’s representations or warranties set forth in Sections 5(a) or 5(b) of the Pledge Agreement to be true and correct at any time.
Put Trigger Event means the first to occur of any of the following events: (i) the fifth anniversary of the Closing Date; (ii) a Disposition; (iii) a Non-Surviving Combination; (iv) the date upon which the Sellers prepay in full the Principal Amount, Interest and Assessments, if any, on the Note; or (v) Acceleration of the payment of the Note.
Put Trigger Event has the meaning set forth in Section 2.7.5.4.
Put Trigger Event has the meaning set forth in Section 6.1(a) hereof.
Put Trigger Event means the occurrence of any of the following: (i) a Change of Control, in each case other than (A) a Change of Control implemented through a mandatory tender offer regulated under Article 198 et seq. of Law 18,045 on the Securities Market, for all and any of the shares in the Company or Share Equivalents in which the IFC Parties are not legally restricted from tendering their shares, or (B) a Change of Control with respect to which the IFC Parties are entitled to sell all of their respective IFC Shares together with the Itaú Parties under the Tag-Along Right set forth in Section 2.01; or (ii) a dilutive corporate transaction, including a merger, reorganization, consolidation or a similar business combination, or capital increase, recapitalization, or other similar change in capitalization, in which such IFC Party did not have the option to participate pro rata (other than as a result of (a) any election by such IFC Party not to participate or to waive its participation or (b) the failure by such IFC Party to participate after being duly notified of its right to participate) that results in the IFC Parties owning, in the aggregate, a number of shares and/or Share Equivalents in the Company immediately following such transaction that constitutes a percentage ownership in the Company equal to less than 1.6625%;
Put Trigger Event has the meaning set forth in Section 2.5.5.4.
