Qualifying Units definition

Qualifying Units means those below market-rate units in a Density Bonus Project that entitle the applicant to a density bonus pursuant to Government Code Section 65915.
Qualifying Units means (i) Units issued upon initial formation of the Partnership which have been continuously held by a Unitholder or by a member of the Unitholder’s Family at least until the record date for the removal vote and (ii) Units which have been held by a Unitholder or by a member of the Unitholder’s Family for a period of not less than five (5) years as of the record date for the removal vote.
Qualifying Units means Common Units (used herein as such term is defined in the Partnership Agreement of SXE) with an issue price equal to either (i) if the Common Units of SXE are listed on a national stock exchange, 93% of the volume weighted average price of such Common Units for the twenty (20) day period immediately preceding the Investment Date or (ii) if the Common Units of SXE are not listed on a national stock exchange, the fair market value of such Common Units as reasonably agreed by SXE and Southcross Holdings and which do not constitute Disqualified Capital Stock.
