Reais Equivalent definition

Reais Equivalent means, with respect to any monetary amount in Dollars, at any time for the determination thereof, the amount of Reais obtained by converting the amount of Dollars involved in such computation into Reais at the spot rate at which Dollars are offered for sale to the Offshore Accounts Bank against delivery of Reais by the Offshore Accounts Bank at approximately 7:00 p.m. (São Paulo, Brazil time) on the date of determination thereof. If for any reason the Reais Equivalent cannot be calculated as provided in the immediately preceding sentence, the Offshore Accounts Bank shall calculate the Reais Equivalent on such basis as the Offshore Accounts Bank (acting reasonably) deems fair and equitable.
Reais Equivalent the amount in Brazilian currency equivalent to U.S. Dollars as determined by the application of the selling rate divulged by the Central Bank of Brazil under the SISBACEN Data System, Transaction PTAX-800, Option 5, Currency 220, or any successor to such rate divulged by the Central Bank of Brazil.
Reais Equivalent means, with respect to any monetary amount in Dollars, at any time for the determination thereof, the amount of Reais obtained by converting the amount of Dollars involved in such computation into Reais at the spot rate at which Dollars are offered for sale to the Administrative Agent against delivery of Reais by the Administrative Agent at approximately 11:00 a.m. (New York City time) on the date of determination thereof. If for any reason the Reais Equivalent cannot be calculated as provided in the immediately preceding sentence, the Administrative Agent shall calculate the Reais Equivalent on such basis as the Administrative Agent (acting reasonably) deems fair and equitable.

Examples of Reais Equivalent in a sentence

  • The sale price of Newco’s shares under the 1st Put Option shall be Reais Equivalent to U.S.$38,000,000.00 (Thirty eight Million U.S. Dollars) (the “1st Put Option Price”), and the sale price of Newco’s shares under the 2nd Put Option shall be calculated in accordance with the principles set forth in Annex H.

  • The Loan shall be disbursed in Reais but, in case of a Pass-Through Loan, will be repaid in Reais Equivalent to the Dollar amount of the Loan if Lender has funded in Dollars.

  • The amount of the Subscription Price to be paid by Xxxxxxxx to Newco in consideration for the Xxxxxxxx Subscribed Shares shall be Reais Equivalent to U.S.$ 79,000,000 (the “Subscription Price”).

More Definitions of Reais Equivalent

Reais Equivalent. (as of the relevant date of calculation) means the equivalent in Reais of any amount expressed in Dollars by converting Dollars into Reais by using the Exchange Rate.
Reais Equivalent means the amount in Brazilian currency equivalent to U.S. Dollars as determined by the exchange rate applicable to foreign capital repatriation and dividend remittances quoted by Banco de Boston, at 11:00 a.m. on the relevant day (or by Banco de Brasil S.A. in the absence of a quotation by Banco de Boston).
Reais Equivalent means, in respect of any amount denominated in Dollar, the Real equivalent of such amount calculated using the Exchange Rate as of the applicable Exchange Rate Calculation Date.

  • Aluminum equivalent means the thickness of type 1100 aluminum alloy affording the same attenuation, under specified conditions, as the material in question.

  • Lead equivalent means the thickness of lead affording the same attenuation, under specified conditions, as the material in question.

  • Sterling Equivalent means at the time of determination thereof (a) with respect to Sterling, the amount in Sterling and (b) with respect to any amount in Dollars, the equivalent of such amount in Sterling determined by Administrative Agent at such time on the basis of the Exchange Rate for the purchase of Sterling with Dollars on the most recent Computation Date provided for in Section 2.8(a).

  • Committed dose equivalent (HT,50) means the dose equivalent to organs or tissues of reference (T) that will be received from an intake of radioactive material by an individual during the 50-year period following the intake.

  • U.S. Dollar Equivalent means, on any date of determination, (a) with respect to any amount in US Dollars, such amount, and (b) with respect to any amount in any Alternative Currency, the equivalent in US Dollars of such amount, determined by the Administrative Agent pursuant to Section 1.05 using the Exchange Rate with respect to such Alternative Currency at the time in effect under the provisions of such Section.
