Examples of Refinanced Projects in a sentence
The Owners of the Series 2011A Certificates shall have no claim against, nor receive any benefits from, any portion of the Trust Estate derived from the sale, re-letting or other disposition of Projects, other than the Refinanced Projects (on a pro rata basis with the Owners of the Outstanding Related Certificates as described herein), or any cash, securities and investments in the Pledged Accounts, other than the Series 2011A Pledged Accounts.
The following are attached to this resolution:Attachment A – Housing ProjectsAttachment B – Refunded Bonds and Refinanced Projects and 2021 ProjectsAttachment C – Offering and Disclosure Approved by the Duluth Economic Development Authority this 26th day of May, 2021.
Such officers are hereby further authorized to execute and deliver deeds and/or releases of property in connection with the termination or release of portions of the Project Site which have been previously leased to or owned by the Port Authority in connection with the Outstanding Bonds or the Refinanced Projects, together with any related documentation required to effect such deeds or releases.
Except with respect to any acts by Trustee which are not undertaken at the request of City or with the prior approval of City, City waives all claims against Trustee growing out of the acquisition of the Refinanced Projects.
Refinanced Projects: the construction, improvement, renovation, furnishing and equipping of senior housing and health care facilities at the locations listed on Attachment B.
Notwithstanding anything to the contrary herein, at no time shall the Trustee be listed in the chain of title to the Refinanced Projects.
City hereby grants and conveys to Trustee, and all persons claiming by, through or under Trustee, including its successors and assigns under the Trust Agreement and the Owners for whom it acts, a nonexclusive easement upon, in and to the Refinanced Projects for the purpose of permitting the Refinanced Projects to be maintained upon the premises.
The City shall not enter into any lease, use or other agreement with any non-governmental Person relating to the use of the Refinanced Projects or the System or security for the payment of the Series 2003 Bonds which might cause theSeries 2003 Bonds to be considered “private activity bonds” or “private loan bonds” within the meaning of Section 141 of the Internal Revenue Code of 1986, as amended (the “Code”).
Trustee shall have no liability to City for any failure of any contractor to perform any contract or other undertaking with respect to the Refinanced Projects in any respect.
In the event of any defect in any item of the Refinanced Projects or other claim with respect to the Refinanced Projects, recourse of City shall be against the contractors, manufacturers, suppliers, etc.
