All of the proceeds of the Prior Bonds, the Series 1998 Bonds and the Series 2019 Bonds have been expended.
The Series 1998 Bonds will also be subject to optional redemption by the Issuer, at the written direction of the Company pursuant to Section 4.9 of the Agreement, in whole but not in part, at any time prior to October 1, 2003, at a redemption price equal to 102% of the principal amount being redeemed plus accrued interest to the redemption date, if the Company shall have consolidated with or merged with or into another corporation, or sold or otherwise transferred all or substantially all of its assets.
In any such case, the Issuer, at the written direction of the Company pursuant to Section 4.9 of the Agreement, shall give written notice to the Trustee directing the Trustee to take all action necessary to redeem the outstanding Series 1998 Bonds in whole and on a date specified in such notice, which redemption date shall be not less than forty-five (45) nor more than ninety (90) days from the date the notice is received by the Trustee.
Except as to any difference in the date, the maturity or maturities, the rate or rates of interest or the provisions for redemption by sinking fund or otherwise, such Additional Bonds shall be on a parity with and shall be entitled to the same benefit and security of this Indenture as the Series 1998 Bonds.
In order to provide funds to currently refund a portion of the Series A Bonds and all of the Series C Bonds, the Issuer agrees that it will initially issue and deliver the Series 1998 Bonds to the purchasers thereof at a price to be approved in advance by the Company and apply and deposit the proceeds thereof in accordance with the terms of the Indenture.
