Refined Product Pipelines means the pipelines described on Exhibit A attached hereto, as such Exhibit may be amended or revised from time-to-time by mutual agreement of HFRM and HEP Operating.

Refined Product Pipelines and "Refined Product Terminals" when used in reference to such pipeline or terminal, as applicable, means only the ownership interest therein held by the Partnership Group. In any such instance, volumes transported or terminalled for Sunoco R&M and its Controlled Affiliates by or for the account of other owners of the pipeline or terminal shall not be considered as volumes transported in a Crude Oil Pipeline or a Refined Product Pipeline or terminalled through a Refined Product Terminal, as applicable, for purposes of determining whether Sunoco R&M's obligations have been met under this Agreement.

Examples of Refined Product Pipelines in a sentence

• HEP will receive Refined Products from ALON at each of the Refined Product Pipelines origins as set forth in the applicable tariff.

• No Refined Products will be received or moved through the Refined Product Pipelines except in compliance with the tariff rules and regulations set forth on Exhibits D, E, and G.

• Nothing in this Section 10(b) shall alter the liability of HEP as set forth in the rules and regulations tariffs for the Refined Product Pipelines attached hereto as Exhibits D, E, or G.

• During the term of this Agreement, ALON shall be entitled to designate Capital Improvements to be made to the Refined Product Pipelines and the Refined Product Terminals.

• ALON, for so long as ALON is shipping Refined Products on the Refined Product Pipelines pursuant to this Agreement, at its sole cost and expense, shall maintain in good condition and repair all connections, valves, tank farm and mainline pumps and other pipeline equipment that connects the Refinery to the Refined Product Pipelines, in accordance with all Applicable Laws and in accordance with applicable industry standards.

• HEP will pay all taxes, import duties, license fees, users fees and other charges by any Governmental Authority levied on the transportation and storage services provided by HEP to ALON under this Agreement or on the Refined Product Pipelines or the Refined Product Terminals.

• In the event that any Governmental Authority having jurisdiction over HEP or the Refined Product Pipelines takes any action under Applicable Law which requires the tariff rates set forth in Exhibits D, E and G to be decreased, then the Minimum Volume Commitment shall be proportionately adjusted in such a manner as may be necessary to take into account the economic benefits and obligations that would have otherwise been realized and borne by the parties had there not been a decrease in the tariff rates.

• The initial tariff rates for interstate service on the Refined Product Pipelines shall be as set forth in the pro forma tariffs attached hereto as Exhibit D and the initial tariff rates for intrastate services (public line) and intrastate service (private line) shall be as set forth in the pro forma tariffs attached hereto as Exhibit E and Exhibit G, respectively.

• The provisions set forth in clauses (ii) through (iii) of the immediately preceding sentence of this Section 10(c) shall not apply to the extent HEP determines in good faith that emergency Maintenance Activities are required in connection with the Refined Product Pipelines or Refined Product Terminals.

• In addition, ALON shall have the right, at its own expense, to conduct a due diligence investigation of the Refined Product Pipelines and the Refined Product Terminals and HEP shall provide ALON reasonable access to such assets and all related records and documents for the purpose of such investigation.

More Definitions of Refined Product Pipelines

Refined Product Pipelines means the pipelines described on Exhibit A attached hereto. "Refined Product Terminals" means the terminals described on Exhibit B attached hereto. "Refineries" means, collectively, the Navajo Refinery and the ▇▇▇▇▇ Cross Refinery. "Refund" has the meaning set forth in Section 9(c). "Subsidiary" means with respect to any Person, (a) a corporation of which more than 50% of the voting power of shares entitled (without regard to the occurrence of any contingency) to vote in the election of directors or other governing body of such corporation is owned, directly or indirectly, at the date of determination, by such Person, by one or more Subsidiaries of such Person or a combination thereof, (b) a partnership (whether general or limited) in which such Person or a Subsidiary of such Person is, at the date of determination, a general or limited partner of such partnership, but only if more than 50% of the partnership interests of such partnership (considering all of the partnership interests of the partnership as a single class) is owned, directly or indirectly, at the date of determination, by such Person, by one or more Subsidiaries of such Person, or a combination thereof, or (c) any other Person (other than a corporation or a partnership) in which such Person, one or more Subsidiaries of such Person, or a combination thereof, directly or indirectly, at the date of determination, has (i) at least a majority ownership interest or (ii) the power to elect or direct the election of a majority of the directors or other governing body of such Person. "▇▇▇▇▇ Cross Refinery" means the refinery owned by the ▇▇▇▇▇ Group in ▇▇▇▇▇ Cross, Utah.

Refined Product Pipelines means (a) the pipelines described on Exhibit B attached hereto and (b) any other pipeline that transports Refined Products in which the Operating Partnership or any of its Subsidiaries acquires, after the date hereof, an ownership interest or the right to use all or a portion of its capacity.

Refined Product Pipelines and "Refined Product Terminals" when used in reference to such pipeline or terminal, as applicable, shall mean only the ownership interest therein held by the Operating Partnership or the Subsidiary. In any such instance, volumes transported or terminalled for UDS and its Controlled Affiliates by or for the account of other owners of the pipeline or terminal shall not be considered as volumes transported in a Crude Oil Pipeline or a Refined Product Pipeline or terminalled through a Refined Product Terminal, as applicable, for purposes of determining whether UDS's obligations have been met under this Agreement.

Refined Product Pipelines means the pipelines identified on Schedule 1.1(e).
