Registrable Warrant Securities definition

Registrable Warrant Securities means (i) the Warrant Shares and (ii) any other securities issued or issuable with respect to or in exchange for Registrable Warrant Securities (including, for the avoidance of doubt, any shares of Common Stock resulting from the conversion of the Warrants), whether by merger, charter amendment or otherwise; provided, that, a security shall cease to be a Registrable Warrant Security upon (A) sale pursuant to a Registration Statement or Rule 144 under the 1933 Act, or (B) other than with respect to any Registrable Warrant Security held by the Fir Tree Investors or any other Investor that is then an Affiliate of the Company, such security becoming eligible for sale without restriction by the Investors pursuant to Rule 144.
Registrable Warrant Securities means the shares of Common Stock issued upon any exercise of the Warrant (excluding such shares of Common Stock included within the Registrable Securities), together with any other securities issued or issuable upon any stock split, dividend, recapitalization, merger, consolidation or similar event with respect thereto. As to any particular Registrable Warrant Securities, once issued such securities shall cease to be Registrable Warrant Securities, when (a) a registration statement with respect to the sale of such securities shall have become effective under the Securities Act and such securities shall have been disposed of in accordance with such registration statement, (b) they shall have been distributed to the public pursuant to Rule 144 (or any successor provision) under the Securities Act, (c) they shall have been otherwise transferred, new certificates for them not bearing a legend restricting further transfer shall have been delivered by the Company and subsequent disposition of them shall not require registration or qualification of them under the Securities Act or any similar state law then in force, or (d) they shall have ceased to be outstanding.
Registrable Warrant Securities means the Warrant Shares (as defined in the Purchase Agreement) issued or issuable (up to the maximum number of Warrant Shares issuable pursuant to the Warrants) upon exercise of or otherwise pursuant to the Warrants, and (B) any shares of capital stock issued or issuable as a dividend on or in exchange for or otherwise with respect to the Warrant Shares.

  • Other Registrable Securities means (i) any Common Equity held (directly or indirectly) by any Other Holders or any of their Affiliates, and (ii) any equity securities of the Company or any Subsidiary issued or issuable with respect to the securities referred to in clause (i) above by way of dividend, distribution, split or combination of securities, or any recapitalization, merger, consolidation or other reorganization.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.
