Registrar Approval definition

Registrar Approval means the receipt of either of the following approvals:
Registrar Approval means the receipt of each of the following: 6.6.2.1 the affirmative approval of the Applicable Registrars whose payments to ICANN accounted for [x%] of the total amount of fees (converted to U.S. dollars, if applicable) paid to ICANN by all the Applicable Registrars during the immediately previous calendar year pursuant to the Applicable Registrar Agreements, provided, however, that no single Registrar or group of Affiliate Registrars may account for more than [y%], and 6.6.2.2 the affirmative approval [z%] of the Applicable Registrars at the time such approval is obtained. For avoidance of doubt, with respect to this Subsection 6.6.2.2, each Applicable Registrar or group of Affiliate Registrars shall have one vote.1 1 Note: The “Registrar Approval” threshold has not been formally defined to date, and any proposal would require ICANN's review and consideration of the feasibility of the defined threshold prior to reaching a negotiated term. Community input and further consultation with the Registrar Stakeholder Addition of new provision providing specific defined terms for Section 6.
Registrar Approval means the receipt of either of the following approvals: 6.10.2.1 The affirmative approval of Applicable Registrars accounting for 90% of the Total Registered Names Under Management by the Applicable Registrars; provided that, for purposes of calculating the Total Registered Names Under Management by Applicable Registrars, the Total Registered Names Under Management by each Applicable Registrar Family shall not exceed the Total Registered Names Under Management of the Applicable Registrar Family that is the fifth largest Applicable Registrar Family (measured by number of Registered Names Under Management), both for purposes of the numerator and the denominator; or 6.10.2.2 The affirmative approval of 50% plus one of the Applicable Registrars that participate in the process to approve or disapprove (i.e. vote for or against, but not abstain or otherwise fail to vote) a proposed amendment under this Section 6, and the affirmative approval of Applicable Registrars accounting for 66.67% of the Total Registered Names Under Management by all Applicable Registrars; provided that, for purposes of calculating the Total Registered Names Under Management by Applicable Registrars, the Total Registered Names Under Management by each Applicable Registrar Family shall not exceed the total Registered Names Under Management of the Applicable Registrar Family that is the fifth largest Applicable Registrar Family (measured by number of Registered Names Under Management), both for purposes of the numerator and the denominator. An example of these calculations is set forth in Appendix 1 attached hereto. 6.10.3 “Restricted Amendment” means (i) an amendment of the Consensus Policies and Temporary Policies Specification or (ii) the term of this Agreement as specified in Section 5.1, as such term may be extended pursuant to Section 5.2. 6.10.4 “Total Registered Names Under Management” means the total number of Registered Names sponsored by all Applicable Registrars as reflected in the latest monthly reports submitted to ICANN by Registrars. 6.10.5 “Working Group” means representatives of the Applicable Registrars and other members of the community that the Registrar Stakeholder Group appoints, from time to time, to serve as a working group to consult on amendments to the Applicable Registrar Agreements (excluding bilateral amendments pursuant to Section 6.9. 6.10.6 Notwithstanding anything in this Section 6.10 to the contrary, (a) if Registrar provides evidence to ICANN’s reasonabl...

Examples of Registrar Approval in a sentence

  • In the event that a Special Amendment is not approved by the ICANN Board of Directors or does not receive Registrar Approval within the Approval Period, subject to Section 6.3, the Special Amendment will have no effect.

  • CPUC Approval means a final and non-appealable order of the CPUC, without conditions or modifications unacceptable to the Parties, or either of them, which contains the following terms:

  • IRB approval means the determination of the IRB that the research has been reviewed and may be conducted at an institution within the constraints set forth by the IRB and by other institutional and federal requirements.

  • Requisite Shareholder Approval shall have the meaning set forth in Section 4.3(a).

  • Requisite Approval means the affirmative vote of the holders of at least a majority of the shares of outstanding Company Common Stock and outstanding Company Preferred Stock voting as a single class.

  • HSR Approval means expiration of all applicable waiting periods under the HSR Act (including any voluntary agreed extensions) or earlier termination thereof.

  • Required Shareholder Approval has the meaning in Section 2.20.

  • Relevant Supervisory Consent means, in relation to any redemption or purchase of the Notes, any required permission of the Relevant Regulator applicable to the Company or the Relevant UK Resolution Authority (as applicable). For the avoidance of doubt, Relevant Supervisory Consent will not be required if either (i) none of the Debt Securities qualify as part of the Issuer’s regulatory capital, or own funds and eligible liabilities or loss absorbing capacity instruments, as the case may be, each pursuant to the Loss Absorption Regulations, (ii) the relevant Debt Securities are repurchased for market-making purposes in accordance with any permission given by the Relevant Regulator pursuant to the Loss Absorption Regulations within the limits prescribed in such permission or (iii) the relevant Debt Securities are being redeemed or repurchased pursuant to any general prior permission granted by the Relevant Regulator or the Relevant UK Resolution Authority (as applicable) pursuant to the Loss Absorption Regulations within the limits prescribed in such permission.

  • Stockholder Approval has the meaning set forth in Section 4.5.

  • Antitrust Authorities means the Federal Trade Commission, the Antitrust Division of the United States Department of Justice, the attorneys general of the several states of the United States of America, and any other Governmental Authority having jurisdiction pursuant to applicable Antitrust Laws with respect to the transactions contemplated hereby.
