Regulatory Representations definition

Regulatory Representations means the representations and warranties of the Seller contained in Section 3.21 (Tax Matters) and Section 3.22 (Environmental Matters).

Examples of Regulatory Representations in a sentence

  • At such time as $150,000 of Losses arising out of Indemnifiable Claims in respect of the Regulatory Representations have either been applied to satisfy the $150,000 minimum referred to in Section 9.4(a) or reimbursed to the GST Companies by the Sellers, the GST Companies may no longer assert Indemnifiable Claims in respect of the Regulatory Representations against the Sellers.

Related to Regulatory Representations

  • Company Representations means the representations and warranties of the Company expressly and specifically set forth in Article IV of this Agreement, as qualified by the Schedules. For the avoidance of doubt, the Company Representations are solely made by the Company.

  • Excluded Representations means the representations and warranties set forth in clause (iii) of Section 4.01(e) and in Section 4.01(f).

  • Buyer Fundamental Representations means the representations and warranties of Buyer contained in Sections 6.1, 6.2 and 6.7.
