Reimbursement Expenses definition

Reimbursement Expenses shall have the meaning ascribed to it in paragraph (A) of Section 5.2.

Reimbursement Expenses. That the Board shall provide the Employee with reimbursement for transportation required in the performance of official duties during her employment under this contract in accordance with Board policy.

Reimbursement Expenses means (i) reasonable costs and expenses, including without limitation reasonable attorneys’ fees and disbursements, of Junior Lender and its participants, reimbursable by the Borrower under the terms of the Subordinated Documents, and (ii) filing and recording fees, and the like incurred by Junior Lender in order to file, record, continue or perfect security interests granted under the Subordinated Documents.

Examples of Reimbursement Expenses in a sentence

• The Reimbursement Expenses shall be Obligations under this Agreement and shall be secured by the Lien of this Agreement and the Security Agreement.

• As to each item of CCP liquidated by the Committee, the Committee shall deliver all funds resulting from such liquidation immediately upon the Committee's receipt thereof to the Plan Administrator to be deposited into the Liquidation Proceeds Account; provided, however, that the Committee may deduct from such gross liquidation proceeds the CCP Reimbursement Expenses and the CCP Compensation attributable to the collection of such liquidation proceeds.

• In no event shall Reimbursement Expenses incurred in one year affect reimbursements or payments or benefits due or payable in any other calendar year.

• Each Owner shall be responsible for (but shall not be obligated to fund) all Operating Disbursements and Direct Reimbursement Expenses in respect of its Facility; provided that any failure by an Owner to provide such funding shall relieve Manager of any obligation hereunder for which there is no Availability of Funds.

• In addition to the foregoing Reimbursement Expenses, Xxxxx shall pay to LINN $6,000,000 per month (prorated for partial months) during the Transition Period (the “Full Management Fee”) and $2,700,000 per month (prorated for partial months) during the Separation Period (the “Limited Management Fee” and together with the Full Management Fee, the “Management Fee”).

• Notwithstanding anything contained herein to the contrary, in no event shall there be a duplication of payments to LINN under this Agreement for any matters, charges or costs of any kind which are covered by, or related to, Reimbursement Expenses, the Management Fee, and/or Cash Calls.

• Manager shall promptly notify Owner Agent of any actual or anticipated variance from the amounts budgeted for Operating Disbursements and Direct Reimbursement Expenses, the reasons therefor and Manager’s recommendations with respect thereto.

• Licensor shall pay the Buy-Out Price (as adjusted to include any Unapplied Localization Reimbursement Expenses in accordance with Section 4.3(c)) to Licensee in cash or in shares of validly issued and authorized shares of common stock of Licensor which have been fully registered with the U.S. Securities and Exchange Commission (the “Commission”) for resale (to the extent legally permitted under applicable federal securities laws and regulations), or any combination thereof, at Licensee’s sole option.

• To the extent LINN’s information technology systems in existence as of the Effective Date and contracts therefor permit without incremental fees or other amounts payable by LINN (or with incremental fees or other amounts payable by LINN that are approved in advance by Xxxxx as Reimbursement Expenses), during the Separation Period, LINN shall provide continued use of its telephonic and networking systems, which may be modified to restrict access to LINN’s network.

• The provision for the payment of the Break-Up Fee and the Reimbursement Expenses in this Section 7.3 is an integral part of the transactions contemplated by this Agreement and without this provision Purchaser would not have entered into this Agreement.

Reimbursement Expenses means all out-of-pocket expenses and fees (including but not limited to reasonable fees, expenses and disbursements of counsel, accountants, investment bankers and other representatives of Newco and its Affiliates) incurred by them or in connection with the transactions contemplated by the Newco Agreement and the Plan, the Chapter 11 Case and the negotiation, execution or performance of the Newco Agreement and any related investigations and due diligence analysis of Marker and its Subsidiaries, which are immediately due and payable by Marker to Newco in the event that the Newco Agreement is terminated or abandoned for any reason (except in the event that (a) Marker terminates the Newco Agreement in accordance with its terms or due to a material breach of the Newco Agreement by Newco; provided that failure of a condition to Newco's obligation to consummate the transactions contemplated by the Newco Agreement shall not by itself constitute a material breach by Newco, or (b) Newco terminates the Newco Agreement other than as a result of a material breach of Marker of any representation, warranty or covenant under the Newco Agreement or pursuant to Section 9.1(e) of the Newco Agreement).

Reimbursement Expenses means the Reimbursement Expenses Residential is entitled to reimbursement pursuant to the terms of this Agreement.

Reimbursement Expenses. The fees specified above include all expenses, and no other expenses shall be separately reimbursed or incurred hereunder for the provision of the Service(s).
