The Collateral Manager will decide (in consultation with the relevant Subordinated Noteholder but at the discretion of the Collateral Manager) whether such Reinvestment Amount is accepted and, if so accepted, the Permitted Use to which such Reinvestment Amount would be applied.
Subordinated Noteholders may become subject to taxation in relation to the making of a Reinvestment Amount.
Subordinated Noteholders should consult their own tax advisers as to the tax treatment to them of making a Reinvestment Amount in accordance with Condition 3(c)(iv) (Reinvestment Amounts).
