Release Prices definition

Release Prices means the fixed price figures for the relevant Release Parcels identified more fully in Schedule V.
Release Prices means, with respect to any Residential Construction -------------- Loan or Residential A&D Loan, the amounts due and payable by the applicable Builder in connection with any Lot and/or Home financed under such Residential Construction Loan or Residential A&D Loan in accordance with the Construction Loan Agreement.
Release Prices means as described in Section 1.1 (Definition of Release Price).

Examples of Release Prices in a sentence

  • Immediately upon the sale and closing of Lots and Homes, Borrower shall pay to Lender any and all Release Prices payable under Section 3.2 below, which Release Price shall be applied to repay sums due and owing under the Note.

  • Payments of Release Prices shall be applied by Lender when received in good, collected funds as set forth in Section 2.3(a)(ii) hereof.

  • Any payment received by Lender under this Section shall be applied against Advances Outstanding in the manner prescribed for Release Prices pursuant to Section 3.04(d).

  • If the value or total amount funded changes materially, in the sole discretion of Bank, Bank reserves the right to modify the Lot Release Prices.

  • The contention that the tribunal did not have the "immediacy" of the decision in mind when considering whether there were special circumstances is one without substance.


More Definitions of Release Prices

Release Prices. The minimum Release Price for each Phase of the Mission Bay Property shall be the greater of (i) the Release Price Percentage of the Gross Sales Proceeds from the Sale of such Phase or (ii) the amounts set forth below:
Release Prices. The minimum Release Price for the West Bluffs Property shall be the greater of (i) fifty percent (50%) of the Gross Sales Proceeds from the Sale of such Property (provided that for purposes of calculating the minimum Release Price under this clause [i], the Gross Sales Proceeds shall be reduced by the amount of the West Bluffs Earn-Out (as defined in the Development Management Agreement) before multiplying the same by 50%) or (ii) Forty Million Dollars ($40,000,000.00) if the Sale occurs for the entire Property at one time. If there are Sales of Phases of the West Bluffs Property, the minimum Release Price, if determined under clause (ii) above, shall be Four Hundred Thousand Dollars ($400,000.00) per Lot.
Release Prices. The minimum Release Price for the Santa Fe Depot Property shall be the greater of (i) the Release Price Percentage of the Gross Sales Proceeds from the Sale of such Property or (ii) Five Million Dollars ($5,000,000.00).
Release Prices based on Schedule 3 hereto shall be based on a sale of 50% of a Steamboat Quartershare Interest (a so-called "1/8th Steamboat Quartershare Interest") and such "Release Prices" shall be multipled by 200% to obtain the minimum "Release Price" for a Steamboat Quartershare Interest for purposes of this definition. Anything contained in this clause (a) to the contrary notwithstanding, if unsold Steamboat Quartershare Interests shall be sold by GSRP other than in the ordinary course of its business (including, without limitation, any bulk sales of such Steamboat Quartershare Interests), the "minimum release dollar amounts" then in effect in respect of such sold Steamboat Quartershare Interests shall be supplemented by adding thereto (x) in the case in which all of the remaining unsold Steamboat Quartershare Interests shall have been sold, all of the remaining unpaid Steamboat Obligations and (y) in any other case, an amount equal to the remainder (if positive) of (x) the amount of the Steamboat Obligations outstanding after applying such "minimum release dollar amounts" as provided in Section 2.5(d)(i) hereof less (y) the product of the remaining unsold Steamboat Quartershare Interests (after giving effect to such sale) times the then current "minimum release dollar amounts."
Release Prices with respect to any Property, the amount set forth opposite such Property on Schedule 1.1(e) to this Agreement; provided that if any Release Price is greater than the then outstanding amount of the Obligations, such Release Price will be deemed to be the then outstanding amount of the Obligations.

Release Prices means the amount of the proceeds of the -------------- Loans allocated to the San Antonio Property and the Other Borrower Properties as set forth in Exhibit J annexed hereto. Release Prices will --------- be adjusted as follows: If the principal amount of the Borrower Note is prepaid as a result of (i) the release of a Property (other than the Santa Xxxxx Property) pursuant to Section 2.6 of the Borrower Loan Agreement, (ii) the application of U.S. Obligations pursuant to Section 2.3 of the Borrower Loan Agreement, or (iii) optional prepayment pursuant to the last sentence of Section 3.1 of the Borrower Loan Agreement, the Release Price for each such Property (other than the Santa Xxxxx Property) shall equal the product of (x) a fraction the numerator of which is the Release Price of such Property immediately before such adjustment and the denominator of which is the aggregate Release Prices for all Properties (other than the Santa Xxxxx Property) immediately before such adjustment, times (y) the outstanding principal amount of the Borrower Note immediately after such adjustment that will be subject to the lien of the Deed of Trust or any Other Mortgage immediately after such repayment.
