The representations and warranties made in this Agreement by the Candlewood Parties are made as of the date hereof and shall be deemed remade by the Candlewood Parties as of the Closing Date with the same force and effect as if made on, and as of, such date. The representations and warranties made in this Agreement with respect to the Jersey City Property shall not be affected, limited or impaired by the Purchaser's election to acquire the membership interests of the Jersey City Owner pursuant to Section 2.2. All representations and warranties made in this Agreement or in any other document delivered pursuant to this Agreement shall expire as of, and be of no further force and effect after, the Closing.
