Reliance Warrants definition

Reliance Warrants means the Warrants issued to Reliance pursuant to the Purchase Agreement, as such Warrants may be assigned or transferred from time to time.
Reliance Warrants shall have the meaning given in Section 6.2.a.

  • The Company shall use its best efforts to issue the Reliance Warrants at the request of Cygnet from time to time when required, and Cygnet will pay to the Company an amount of consideration upon each such issuance equal to the fair value of the Reliance Warrants (as reasonably determined by the Company for financial accounting purposes) on the date of issuance of the Reliance Warrants.

  • The Company shall retain its obligation under that certain Warrant Agreement dated February 9, 1998 between the Company and Reliance Acceptance Corporation ("Reliance") to issue warrants to Reliance from time to time (the "Reliance Warrants").

  • Initial Warrants means the warrants of the Company to purchase shares of Common Stock underlying the Initial Units issued and outstanding prior to the IPO.

  • Note Shares means the shares of Common Stock issuable upon conversion of a Note, including any outstanding principal and accrued interest.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Private Placement Warrants shall have the meaning given in the Recitals hereto.

  • Special Warrants means the special warrants issued by the Company, at a price of $0.10 per Special Warrant, pursuant to the Special Warrant Private Placement and entitling the holder thereof to acquire, for no additional consideration, one Common Share pursuant to the terms and conditions in the Special Warrant Certificates; and

  • Exercise Shares means the shares of Common Stock issuable upon exercise of this Warrant.

  • Parent Warrants means the outstanding warrants to purchase Parent Common Stock.

  • Convertible Debentures means the 10½% Convertible Subordinated Debentures due 2007 of the Company.

  • Class B Warrants means, collectively, the Common Stock purchase warrants in the form of Exhibit C attached hereto delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which warrants shall be exercisable immediately and have a term of exercise equal to one year.

  • Private Warrants means the Warrants the Investors are privately purchasing simultaneously with the consummation of the Company’s initial public offering.

  • Conversion Shares means, collectively, the shares of Common Stock issuable upon conversion of the shares of Preferred Stock in accordance with the terms hereof.

  • New Warrants means those certain warrants to purchase New Valaris Equity on the terms set forth in the New Warrant Agreement.

  • Warrant Stock means Common Stock issuable upon exercise of any Warrant or Warrants or otherwise issuable pursuant to any Warrant or Warrants.

  • Existing Warrants means any warrants to purchase Common Stock outstanding on the date of this Agreement.

  • Additional Warrants means such further warrants as may be required or permitted to be issued by the Company in accordance with Condition 5 (such further warrants to rank pari passu with the Original Warrants and for all purposes to form part of the same series), each such Additional Warrant entitling the holder thereof to subscribe for one (1) New Share at such price as may be determined in accordance with Condition 5, upon and subject to the Conditions;

  • Exchange Debentures has the meaning set forth in Section 2(a) hereof.
