Remaining Investment Amount definition

Remaining Investment Amount means, from time to time, the Maximum Investment Amount less all Draw Down Amounts previously paid under this Agreement.
Remaining Investment Amount means the Investment Amount less the Interim Investment Amount.
Remaining Investment Amount refers to the portion of Investment Amount corresponding to the Remaining Subject Shares as of a specified date.

More Definitions of Remaining Investment Amount

Remaining Investment Amount means the remainder of $25,000,000 less the First Tranche Purchase Price, the Second Tranche Purchase Price and the Third Tranche Purchase Price, except that, if the Company completes any Common Stock offering (or any offering of convertible securities convertible) at a per common share equivalent offering price lower than the First Tranche Closing Price (on an as converted basis) after the First Tranche Closing (as defined below) and prior to the Shareholder Approval of Additional Share Issuance (an “Intervening Offering”), then the Remaining Investment Amount shall be increased by the product of (A) 3,630,000 and (B) the difference in the First Tranche Per Share Purchase Price (on an as converted basis) and the per share price of the Intervening Offering (on an as converted to Common Stock basis, if applicable). Such adjustment of the Remaining Investment Amount shall be made by means of issuance of a separate subordinated convertible note of the Company in the form of the Convertible Note (the “Second Convertible Note,” together with the Convertible Note and the Shares, the “Securities”), with the same maturity date as the original Convertible Note; provided, however, that in no event shall the Purchaser be required to pay any additional amount for the Second Convertible Note. References in Sections 3, 7 and 11 of this Agreement to the “Convertible Note” shall be deemed to include the Second Convertible Note to the fullest extent applicable under the circumstances.
Remaining Investment Amount as to any Member on any date and with respect to a Class of Interests held by such Member, an amount equal to the greater of (a) zero and (b) the amount equal to (i) such Member’s Maximum Investment Amount with respect to such Class, minus (ii) the excess, if any, of (1) the aggregate amount of all Capital Contributions made by such Member (or deemed made by such Member pursuant to the definition of “Capital Contribution”) to the Company with respect to such Class pursuant to Section 4.2(a) hereof, over (2) the aggregate amount of all distributions received by such Member in respect of such Class of Interests that constitute “Principal Proceeds” (as defined in the Senior Loan Agreement).   • PIPE Investment Amount means the aggregate gross purchase price received by Acquiror prior to or substantially concurrently with Closing for the shares in the PIPE Investment.

  • Investment Amount means the dollar amount to be invested by Investor to purchase Put Shares with respect to any Put as notified by the Company to Investor in accordance with Section 2.2.

  • Acquisition Amount means, for an Acquired Receivable for which the Acquisition Amount is to be included in Available Funds for a Payment Date, the excess of (i) the present value of the Principal Balance of the Receivable as of the last day of the Collection Period immediately preceding the related Collection Period (calculated using the Discount Rate on the basis of a 360-day year of twelve 30-day months and assuming each amount is received at the end of the Collection Period in which the amount is scheduled to be received) over (ii) all cash collections and any other cash proceeds received by the Issuer on the related Receivable from (but excluding) the last day of the Collection Period immediately preceding the related Collection Period to the day on which such Receivable becomes an Acquired Receivable.

  • Senior Principal Distribution Amount As to any Distribution Date, the sum of (i) the Senior Percentage of all amounts described in subclauses (a) through (d) of clause (i) of the definition of Non-PO Formula Principal Amount for such Distribution Date, (ii) with respect to any Mortgage Loan that became a Liquidated Mortgage Loan during the calendar month preceding the month of such Distribution Date, the lesser of (x) the Senior Percentage of the applicable Non-PO Percentage of the Stated Principal Balance of such Mortgage Loan and (y) either (A) the Senior Prepayment Percentage of the applicable Non-PO Percentage of the amount of the Liquidation Proceeds allocable to principal received on the Mortgage Loan or (B), if an Excess Loss was sustained with respect to such Liquidated Mortgage Loan during such preceding calendar month, the Senior Percentage of the amount of the Liquidation Proceeds allocable to principal received with respect to such Mortgage Loan, and (iii) the sum of (x) the Senior Prepayment Percentage of the applicable Non-PO Percentage of the amounts described in subclause (f) of clause (i) of the definition of Non-PO Formula Principal Amount for such Distribution Date, and (y) the Senior Prepayment Percentage of any Subsequent Recoveries described in clause (ii) of the definition of Non-PO Formula Principal Amount for such Distribution Date; provided, however, that if a Bankruptcy Loss that is an Excess Loss is sustained with respect to a Mortgage Loan that is not a Liquidated Mortgage Loan, the Senior Principal Distribution Amount will be reduced on the related Distribution Date by the Senior Percentage of the applicable Non-PO Percentage of the principal portion of such Bankruptcy Loss.

  • M3 Principal Distribution Amount With respect to any Distribution Date on or after the Stepdown Date and as long as a Trigger Event is not in effect with respect to such Distribution Date, the amount, if any, by which (x) the sum of (i) the aggregate Class Principal Amount of the Senior Certificates and the Class M1 and Class M2 Certificates, in each case after giving effect to distributions on such Distribution Date and (ii) the Class Principal Amount of the Class M3 Certificates immediately prior to such Distribution Date exceeds (y) the M3 Target Amount.

  • Maximum Contribution Amount shall equal the excess of (i) the aggregate proceeds received by such Holder pursuant to the sale of such Registrable Notes or Exchange Notes over (ii) the aggregate amount of damages that such Holder has otherwise been required to pay by reason of such untrue or alleged untrue statement or omission or alleged omission. No person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any Person who was not guilty of such fraudulent misrepresentation. The Holders’ obligations to contribute pursuant to this Section 8(d) are several in proportion to the respective principal amount of the Registrable Securities held by each Holder hereunder and not joint. The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several. The indemnity and contribution agreements contained in this Section 8 are in addition to any liability that the Indemnifying Parties may have to the Indemnified Parties.

  • Group 2 Senior Principal Distribution Amount For any Distribution Date, an amount equal to the sum of (a) the Group 2 Senior Percentage of the Principal Payment Amount for Loan Group 2, (b) the Group 2 Senior Prepayment Percentage of the Principal Prepayment Amount for Loan Group 2 and (c) the Group 2 Senior Liquidation Amount.

Such amount shall be determined separately for each Loan Group. Additionally, with respect to any Mortgage Pool that is comprised of two or more Loan Groups, if on any Distribution Date Compensating Interest provided pursuant to this Section 3.16(e) is less than Prepayment Interest Shortfalls incurred on the Mortgage Loans in connection with Principal Prepayments in Full and Curtailments made in the prior calendar month, such Compensating Interest shall be allocated on such Distribution Date to the Available Distribution Amount for each Loan Group on a pro rata basis in accordance with the respective amounts of such Prepayment Interest Shortfalls incurred on the Mortgage Loans in such Loan Group in respect of such Distribution Date.
