Remarketing Terms Notice definition

Remarketing Terms Notice means the notice delivered by the Remarketing Agents to a the Reset Rate Noteholders, the Indenture Trustee, the Rating Agencies and the applicable Clearing Agencies on each Remarketing Terms Determination Date containing the information set forth in the Reset Rate Note Procedures (Appendix A-2 to the Indenture).
Remarketing Terms Notice means the notice delivered by the Remarketing Agents to the applicable Noteholders of a class of Reset Rate Notes, the Indenture Trustee and the Rating Agencies on each Remarketing Terms Determination Date containing the information set forth in the Reset Rate Note Procedures (Appendix A-2 to the Indenture).
Remarketing Terms Notice means the notice delivered by the Issuer Administrator to the Noteholders of the Series 2007-1 Reset Rate Notes, the Trustee and the Rating Agencies no later than each Remarketing Terms Determination Date containing the information set forth in the Reset Rate Note Procedures.

  • On each Reset Date for the Class A-5a Notes, the Indenture Trustee, in its capacity as DTC Custodian, will attach (or will send to the Registered Owner of this note if not then held in book-entry form) a revised Annex 1 setting forth the reset terms of this note and copies of the related Remarketing Terms Notice and Spread Determination Notice, which shall be considered an integral part of this note applicable during the related Reset Period.

Related to Remarketing Terms Notice

  • a term's notice means written notice given not later than the first day of the term before the term to which the notice relates1;

  • Product Terms means the document that provides information about Products available under this Agreement. The Product Terms document is published on the Licensing Site and is updated from time to time.

  • Offeror’s Notice means the notice described in Section 12.3.

  • Notice Inviting Tender means the notice issued by a SNDB through publication in the newspapers or through electronic means for the purpose of inviting bids, or applications for pre-qualifications, or expression of interests, which may include Tender Notice, Invitation for Bids, Notice for Pre- qualifications or Request for Expression of Interests;

  • Determination Notice is defined in Section 6.1(b)(i) of the Agreement.

  • Variation Notice means a written notice signed by a Shareholder (or each Shareholder in the case of a joint shareholding) under clause 8.1 in the form prescribed or approved by the Board from time to time, which may (without limitation) be combined with, or form part of, any other form or notice including an Election Form).

  • Reset Notice has the meaning specified in Section 3.07.

  • Term SOFR Transition Event means the determination by the Administrative Agent that (a) Term SOFR has been recommended for use by the Relevant Governmental Body, (b) the administration of Term SOFR is administratively feasible for the Administrative Agent and (c) a Benchmark Transition Event or an Early Opt-in Election, as applicable, has previously occurred resulting in a Benchmark Replacement in accordance with Section 2.14 that is not Term SOFR.

  • Reference Notice means a notice given to the Water Services Regulation Authority under paragraph 11 or 14 of Condition B;

  • Final Term Sheet means the term sheet prepared pursuant to Section 4(a) of this Agreement and substantially in the form attached in Schedule III hereto;

  • Third Party Terms means, if any, the end user license agreement(s) or similar terms for the Third Party Software, as applicable and attached as Exhibit D.

  • Mediation Notice is defined in Section 6.2(b).

  • Final Terms means the final terms specifying the relevant issue details of the ETP Securities.

  • Designation Notice means a notice from any Lender or an Affiliate of a Lender substantially in the form of Exhibit I.

  • Confirmation Notice means a notice provided by the Issuer to an Investor in accordance with clause 1.3(c) of the Terms;

  • CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).

  • Extended Terms shall have the meaning given such term in Section 2.4.

  • Second Notice means notice to the Class in a form to be approved by the Court, which shall substantially be in accordance with the notice at Schedule “E”.

  • Participation Notice has the meaning set forth in Section 4.2;

  • Principal Terms means, with respect to any Series, (i) the name or designation; (ii) the initial principal amount (or method for calculating such amount), the Invested Amount, the Series Invested Amount and the Required Series Transferor Amount; (iii) the Certificate Rate (or method for the determination thereof); (iv) the payment date or dates and the date or dates from which interest shall accrue; (v) the method for allocating Collections to Investor Certificateholders; (vi) the designation of any Series Accounts and the terms governing the operation of any such Series Accounts; (vii) the Servicing Fee; (viii) the issuer and terms of any form of Series Enhancements with respect thereto; (ix) the terms on which the Investor Certificates of such Series may be exchanged for Investor Certificates of another Series, repurchased by a Transferor or remarketed to other investors; (x) the Series Termination Date; (xi) the number of Classes of Investor Certificates of such Series and, if more than one Class, the rights and priorities of each such Class; (xii) the extent to which the Investor Certificates of such Series will be issuable in temporary or permanent global form (and, in such case, the depositary for such global certificate or certificates, the terms and conditions, if any, upon which such global certificate may be exchanged, in whole or in part, for Definitive Certificates, and the manner in which any interest payable on a temporary or global certificate will be paid); (xiii) whether the Investor Certificates of such Series may be issued in bearer form and any limitations imposed thereon; (xiv) the priority of such Series with respect to any other Series; (xv) whether such Series will be part of a Group; (xvi) whether such Series will be a Principal Sharing Series; (xvii) whether such Series will be an Excess Allocation Series; (xviii) the Distribution Date; and (xix) any other terms of such Series.

  • Acceptance Notice has the meaning set forth in Section 9.2(d)(iii).

  • Escalation Notice has the meaning set forth in Section 8.02.
