REMEDY FOR BREACH AND RIGHT TO CURE. Notwithstanding anything else in this Agreement to the contrary, if Contractor fails to perform any obligation of this Agreement, the County may itself perform, or cause the performance of, such agreement or obligation. In that event, Contractor will, on demand, fully reimburse County for all such expenditures. Alternatively, County, at its option, may deduct from any funds owed to Contractor the amount necessary to cover any expenditures under this provision. Notwithstanding anything else in this Agreement to the contrary, if Consultant fails to perform any obligation of this Agreement, and fails to cure the failure within ten (10) days following written notice thereof from the County, the County may terminate this Agreement and itself perform, or cause the performance of, such agreement or obligation. If County terminates this Agreement with Consultant, County shall pay Consultant the sum due to Consultant under this Agreement prior to termination, in accordance with the termination provisions specified in Section 8 of this Agreement. This is in addition to any other remedies available to the County by law or as otherwise stated in this Agreement.

In the event of the cancellation of this Agreement either in whole or in part, by reason of the default or breach thereof by the Contractor, the County may terminate this Agreement and be relieved of the payment of any consideration to Contractor should Contractor fail to perform the covenants herein contained at the time and in the manner herein provided. In the event of such termination, the County may proceed with the work in any manner deemed proper by the County to fulfill the original obligations which the Contractor therein agreed to supply under this Agreement. The cost to the County shall be deducted from any sum due the Contractor under this Agreement, and the balance, if any, shall be paid by Contractor. The rights and remedies of the County provided above shall not be exclusive and are in addition to any other rights and remedies provided by law necessary to recover and satisfy Contractor’s obligations which it failed to provide under this Agreement.
