For greater certainty, and subject to Section 6.03(e), the Reorganizing Party agrees, to the extent necessary or advisable, to seek the approval and authorization of the CGGC Shareholders at the CGGC Shareholder Meeting of any Reorganization upon the request of Col-Care.
Upon receipt of such notice, the Requesting Party and the Reorganizing Party shall work co-operatively and use commercially reasonable efforts to prepare prior to the Effective Time all documentation necessary and do all such other acts and things as are necessary to give effect to such Pre-Acquisition Reorganization at least two Business Days prior to the Effective Time, or such later time as may be agreed to by the Requesting Party and the Reorganizing Party.
The Requesting Party shall provide written notice to the Reorganizing Party of any proposed Pre-Acquisition Reorganization at least twenty Business Days prior to the Effective Time.
