Repayment Offer has the meaning ascribed thereto in Section 3.1(a)(i);

Examples of Repayment Offer in a sentence

  • In the event that any Net Proceeds from an Asset Sale, Casualty Event or Condemnation Event remain after the Borrower has made a Mandatory Repayment Offer (and, if applicable, reoffer) in accordance with Section 2.11 (Mandatory Repayment Offers) and such Net Proceeds have otherwise been applied in accordance with clause (b) above, then the Borrower may use such remaining Net Proceeds for any purpose not otherwise prohibited by the Financing Documents, including the making of Restricted Payments.

  • To the extent that the provisions of any securities laws or regulations conflict with the Term Loan Repayment Offer provisions in this Indenture, the Issuers will comply with the applicable securities laws and regulations and will not be deemed to have breached its obligations under the Term Loan Repayment Offer provisions of this Indenture by virtue of such compliance.

  • In addition, in connection with an Excess Cash Flow Offer, Wilpinjong Mandatory Offer or Term Loan Repayment Offer, the Issuers will be required to make an offer to repurchase the Notes as provided in Section 4.16, Section 4.17 or Section 4.18 of the Indenture, as applicable.

  • If the aggregate principal amount of notes surrendered in a Term Loan Repayment Offer exceeds the Term Loan Offer Amount, the Issuers will select the notes (in the case of global notes, subject to the applicable procedures of DTC) to be purchased on a pro rata basis with such adjustments as needed so that no notes in an unauthorized denomination are purchased in part based on the aggregate principal amount, as applicable of the notes tendered.

  • The Borrower is required to and shall effectuate each repayment of the Second Priority Term Loans by commencing a Mandatory Repayment Offer as described in Section 2.11 (Mandatory Repayment Offers).

  • The Notes may be redeemed at the option of the Issuers, and may be the subject of a Change of Control Offer, an Asset Sale and Other Last Out Debt Repayment Offer, as further described in the Indenture.

  • The notice shall contain all instructions and materials necessary to enable the Lenders to accept the Mandatory Repayment Offer for all of their First Priority Term Loans pursuant to the Mandatory Repayment Offer.

  • Increment Offer means a type of Virtual Transaction that is an offer to sell energy at a specified location in the Day-ahead Energy Market. A cleared Increment Offer results in scheduled generation at the specified location in the Day-ahead Energy Market.

  • Repayment and “Repaid” shall have correlative meanings. For purposes of Section 4.04 and Section 4.07 and the definition of “Consolidated Fixed Charges Coverage Ratio,” Debt shall be considered to have been Repaid only to the extent the related loan commitment, if any, shall have been permanently reduced in connection therewith.

  • Prepayment means any prepayment, whether in part or in full, in respect of any Receivable.

  • Repayment Notice Each notice required to be delivered by the Borrower in respect of any repayment of Advances Outstanding, in the form of Exhibit A-2.

  • Repayment Amount means the amount to be paid by the Recipient to the OPWC on each payment date of each year during the Term pursuant to the terms and conditions of the Note.

  • Call Option Repayment Date means the settlement date for the Call Option determined by the Issuer pursuant to Clause 10.2 (Voluntary early redemption – Call Option), paragraph (d) of Clause 10.3 (Mandatory repurchase due to a Put Option Event) or a date agreed upon between the Bond Trustee and the Issuer in connection with such redemption of Bonds.

  • Put Option Repayment Date means the settlement date for the Put Option pursuant to Clause 10.3 (Mandatory repurchase due to a Put Option Event).
