The Chief Financial Officer. The Chief Financial Officer shall be responsible for financial control and planning of the Company. The Chief Financial Officer shall be in charge of (1) credit control, (2) preparing budgets and financial statements, (3) coordinating financing and fund raising, (4) monitoring expenditure and liquidity, (5) managing investment and taxation issues, (6) reporting financial performance to the Board, and (7) providing timely financial data to the President. The Chief Financial Officer shall act as “Principal Financial Officer” and “Principal Accounting Officer” as those terms are defined under applicable rules and forms of the SEC, and shall have the requisite experience and background to function as such.
The Chief Financial Officer. The chief financial officer shall, subject to the supervision, direction and control of the board of directors, (a) have primary charge and custody of and be responsible for all funds and securities of the Corporation and (b) be responsible for the accounting and financial services of the Corporation, and shall have all such further powers and duties as are customarily and usually associated with the position of chief financial officer, or as may from time to time be assigned to him or her by the board of directors, the chairman, the chief executive officer or the president.
The Chief Financial Officer. The Chief Financial Officer shall have the custody of the corporate funds and securities; shall keep full and accurate accounts of receipts and disbursements in books belonging to the Corporation as shall be necessary or desirable in accordance with applicable law or generally accepted accounting principles; shall deposit all monies and other valuable effects in the name and to the credit of the Corporation as may be ordered by the Chairman of the Board or the Board of Directors; shall receive, and give receipts for, moneys due and payable to the Corporation from any source whatsoever; shall cause the funds of the Corporation to be disbursed when such disbursements have been duly authorized, taking proper vouchers for such disbursements; and shall render to the Board of Directors, at its regular meeting or when the Board of Directors so requires, an account of the Corporation; shall have such powers and perform such duties as the Board of Directors, the Chairman of the Board, the Chief Executive Officer, the President or these Bylaws may, from time to time, prescribe. The Chief Financial Officer shall have the powers and perform the duties incident to that position.
The Chief Financial Officer. The Chief Financial Officer of the Corporation (the "Chief Financial Officer") shall, subject to the direction and under the supervision of the Board and its applicable Committees, be the chief financial officer of the Corporation and be responsible for the financial books and records of the Corporation and supervision and direction over the Controller (if any) and other financial (including, without limitation, payroll, benefits and accounting) Officers, employees and agents of the Corporation. The Chief Financial Officer also shall hold the position of Treasurer unless another individual is specifically selected to be the Treasurer. The Chief Financial Officer shall report to the President and the Board of Directors.

The Chief Financial Officer. The CFO (if any) will be the chief financial officer of the Corporation and shall have such powers and perform all duties incident to the office of CFO, and shall have such other powers and perform such other duties as the board of directors assigns.
The Chief Financial Officer. The CFO shall be the principal accounting and financial officer of the Company. The CFO shall: (i) have charge of and be responsible for the maintenance of adequate books of account for the Company; (ii) have charge and custody of all funds and securities of the Company, and be responsible therefor and for the receipt and disbursement thereof; and (iii) perform all the duties incident to the office of CFO and such other duties as from time to time may be assigned to him by the Chief Executive Officer or the Board of Managers. If required by the Board of Managers, the CFO shall give a bond for the faithful discharge of his duties in such sum and with such surety or sureties as the Board of Managers may determine.
The Chief Financial Officer. The Chief Financial Officer shall have charge and supervision over and be responsible for the moneys, securities, receipts and disbursements of the Company, and shall keep or cause to be kept full and accurate records of all receipts of the Company. The Chief Financial Officer shall render to the Board, whenever requested, a statement of the financial condition of the Company and of all his transactions as Chief Financial Officer, and render a full financial report at the annual meeting of the Members, if called upon to do so. The Chief Financial Officer shall be empowered from time to time to require from all officers or agents of the Company reports or statements giving such information as he may desire with respect to any and all financial transactions of the Company. The Chief Financial Officer shall perform, in general, all duties incident to the office of chief financial officer of a Delaware corporation and such other duties as may be specified in this Agreement or as may be assigned to him from time to time by the Board or the Chairman and the Vice Chairman. The Chief Financial Officer shall report to the Chairman and the Vice Chairman.
