Required Minimum Amount definition

Required Minimum Amount means the amount of working capital necessary for Manager to ensure that the Hotel has sufficient cash to pay its bills in a timely manner, which amount shall initially be set at $x,xxx,xxx.00 and may be modified from time to time to levels which Manager determines are reasonably necessary to satisfy the needs of the Hotel as its operation may from time to time require based upon the reasonable cash flow forecasts of Manager. Working Capital is defined as the excess of current assets less current liabilities.
Required Minimum Amount means the principal balance of the Existing Loan on the Closing Date, at any time reduced (x) by the regularly scheduled payments of principal amortization under the Existing Loan Documents, as they exist on the date hereof, and (y) prorata in the event and to the extent that the Class B Unit holders convert any of the Class B units to Shares or cash.
Required Minimum Amount means, as to each Investor, the amount set forth on Exhibit F attached hereto. Anything to the contrary notwithstanding, any Investor, upon written notice to the Assignee, may reduce the Required Minimum Amount as to such Investor to the amount set forth in such notice. Any such reduction shall be effective as of the first day of the calendar month following the month in which such notice was given in accordance with the terms of this Agreement.

More Definitions of Required Minimum Amount

Required Minimum Amount shall be (i) as of the Effective Date, One Hundred Sixty-Five Million Dollars ($165,000,000) and (ii) as at the end of any Cumulative Fiscal Period ending after the Effective Date:
Required Minimum Amount the amount described in #1 above must not exceed the amount described in #2 above.
Required Minimum Amount shall be (i) as of the date of the Initial Credit Event, the greater of (A) Six Hundred Million Dollars ($600,000,000) and (B) an amount equal to the Consolidated Net Worth of the Borrower as at the close of the Fiscal Quarter immediately preceding the date of the Initial Credit Event MINUS Forty-Five Million Dollars ($45,000,000); and (ii) as at the end of any Cumulative Fiscal Period ending after the Closing Date:
Required Minimum Amount means both during and following the expiration of the Initial Term, (a) the aggregate interest payments which would have been payable to Access Capital for each month (or portion thereof) remaining during the Initial Term or any renewal term, as applicable, based upon the Minimum Average Monthly Borrowing Amount for each such remaining month (or portion thereof) and (b) the Annual Fees payable to Access Capital for the Initial Term or any renewal term, as applicable, all of which payments and fees shall be deemed fully earned on the Closing Date; such amount being intended to compensate Access Capital for its costs and expenses incurred in initially approving this Agreement or extending same. Such early termination fee shall also be due and payable by the Companies to Access Capital upon termination of this Agreement by Access Capital after the occurrence of an Event of Default. The representations, warranties and covenants of the Companies and the remedies of Access Capital for a breach of such representations, warranties and/or covenants, shall survive the termination of this Agreement, and such termination shall not affect the rights of Access Capital to enforce its remedies under this Agreement and the other Transaction Documents against any Company, each Responsible Party any Collateral and/or other assets pledged by any Responsible Party to Access Capital following the occurrence of an Event of Default.
Required Minimum Amount means Seventy Five Million and 00/100 Dollars ($75,000,000.00); provided that such amount shall be increased on a pro rata basis in connection with any increase in the Maximum Revolving Advance Amount pursuant to Section 2.25 hereof.

Related to Required Minimum Amount

  • Required Minimum means, as of any date, the maximum aggregate number of shares of Common Stock then issued or potentially issuable in the future pursuant to the Transaction Documents, including any Underlying Shares issuable upon exercise in full of all Warrants or conversion in full of all shares of Preferred Stock, ignoring any conversion or exercise limits set forth therein.

  • Minimum Amount means the Minimum Amount as specified in § 1 of the Product and Underlying Data.

  • stipulated minimum threshold means that portion of local production and content as determined by the Department of Trade and Industry; and

  • Adjusted Maximum Amount means, with respect to a Contributing Guarantor as of any date of determination, the maximum aggregate amount of the obligations of such Contributing Guarantor under this Guaranty or a Related Guaranty, in each case determined in accordance with the provisions hereof and thereof; provided that, solely for purposes of calculating the “Adjusted Maximum Amount” with respect to any Contributing Guarantor for purposes of this paragraph 2, the assets or liabilities arising by virtue of any rights to or obligations of contribution hereunder or under any similar provision contained in a Related Guaranty shall not be considered as assets or liabilities of such Contributing Guarantor. “Aggregate Payments” means, with respect to a Contributing Guarantor as of any date of determination, the aggregate amount of all payments and distributions made on or before such date by such Contributing Guarantor in respect of this Guaranty and the Related Guaranties (including, without limitation, in respect of this paragraph 2 or any similar provision contained in a Related Guaranty). The amounts payable as contributions hereunder and under similar provisions in the Related Guaranties shall be determined as of the date on which the related payment or distribution is made by the applicable Funding Guarantor. The allocation among Contributing Guarantors of their obligations as set forth in this paragraph 2 or any similar provision contained in a Related Guaranty shall not be construed in any way to limit the liability of any Contributing Guarantor hereunder or under a Related Guaranty. Each Contributing Guarantor under a Related Guaranty is a third party beneficiary to the contribution agreement set forth in this paragraph 2.

  • Minimum Liquidity Amount shall have the meaning assigned to such term in the Pricing Side Letter.

  • Maximum Amount means the Maximum Amount as specified in § 1 of the Product and Underlying Data.

  • Minimum Equity Amount shall have the meaning provided in the recitals to this Agreement.

  • VWAP Minimum Price Threshold means, with respect to any particular VWAP Purchase Notice, the Sale Price on the VWAP Purchase Date equal to the greater of (i) 80% of the Closing Sale Price on the Business Day immediately preceding the VWAP Purchase Date or (ii) such higher price as set forth by the Company in the VWAP Purchase Notice.

  • Maximum Available Commitment means, subject to the proviso contained in the third sentence of Section 2.02(a), at any time of determination, (a) the Maximum Commitment at such time less (b) the aggregate amount of each Interest Advance outstanding at such time; provided that following a Provider Advance or a Final Advance, the Maximum Available Commitment shall be zero.

  • Minimum L/C Collateral Amount means, at any time, in connection with any Letter of Credit, (i) with respect to Cash Collateral consisting of cash or deposit account balances, an amount equal to 102% of the Revolving L/C Exposure with respect to such Letter of Credit at such time and (ii) otherwise, an amount sufficient to provide credit support with respect to such Revolving L/C Exposure as determined by the Administrative Agent and the Issuing Banks in their sole discretion.

  • Maximum Available Amount means, on any date of determination, an amount equal to the lesser of:

  • Minimum Dilution Reserve Percentage means, at any time of determination, the product (expressed as a percentage and rounded to the nearest 1/100th of 1%, with 5/1000th of 1% rounded upward) of (a) the average of the Dilution Ratios for the twelve (12) most recent Fiscal Months, multiplied by (b) the Dilution Horizon Ratio.

  • Required Availability means Excess Availability and unrestricted cash and Cash Equivalents in an amount of not less than $5,000,000.

  • Minimum Tranche Amount has the meaning specified in Section 2.15(b).

  • Minimum Liquidity means, as of any date of determination, the sum of (a) the aggregate unused amount of the Commitments as of such date and (b) unrestricted cash of the Loan Parties as of such date.

  • Minimum Acceptable Price with respect to any Put Notice Date shall mean seventy-five percent (75%) of the lowest closing bid prices for the ten (10) Trading Day period immediately preceding such Put Notice Date.

  • Final Availability Date means the earlier of the Revolving Termination Date and one (1) Business Day prior to the date specified in clause (a) of the definition of Revolving Termination Date.

  • Facility Amount means (a) prior to the end of the Revolving Period, $250,000,000, unless this amount is permanently reduced pursuant to Section 2.5 or increased pursuant to Section 2.8, in which event it means such lower or higher amount and (b) from and after the end of the Revolving Period, the Advances Outstanding.

  • Minimum Cash Amount shall have the meaning set forth in Section 6.2(iv).

  • Minimum Disbursement Amount means Twenty-Five Thousand and No/100 Dollars ($25,000).

  • Minimum Takedown Threshold shall have the meaning given in Section 2.1.4.

  • Required Reserve Amount means, with respect to any Payment Date, the lesser of (a) 0.25% of the difference of the Aggregate Starting Principal Balance less the Yield Supplement Overcollateralization Amount as of the applicable Cutoff Date of all Receivables transferred to the Trust and (b) the Outstanding Amount of the Notes.

  • FILOT Act Minimum Investment Requirement means, with respect to the Project, an investment of at least $2,500,000 by the Company, or of at least $5,000,000 by the Company and any Sponsor Affiliates in the aggregate, in Economic Development Property.

  • Minimum Collateral Amount means, at any time, (a) with respect to Cash Collateral consisting of cash or deposit account balances, an amount equal to 100% of the Fronting Exposure of the Issuing Lenders with respect to Letters of Credit issued and outstanding at such time and (b) otherwise, an amount reasonably determined by the Administrative Agent and the Issuing Lenders in their sole discretion.

  • Minimum Weighted Average Coupon Test means a test that is satisfied on any date of determination if the Weighted Average Fixed Coupon equals or exceeds the Minimum Fixed Coupon.

  • Extension Minimum Condition means a condition to consummating any Extension that a minimum amount (to be determined and specified in the relevant Extension Request, in the Borrower’s sole discretion) of any or all applicable Classes be submitted for Extension.
