Take Delivery of a Restricted Warrant Pursuant to any Provision of the Securities Act other than Rule 144A.
Notwithstanding any provision of this Warrant or the Warrant Agreement to the contrary, the holder of any Restricted Warrant may elect to convert such Restricted Warrant into shares of Common Stock as provided herein only if the Board of Directors shall determine that upon such conversion the Company shall receive consideration in an amount not less than the par value of the shares of Common Stock issuable upon such conversion.
Each certificate representing Restricted Warrant Shares shall bear a legend in substantially the following form: "THE SECURITIES EVIDENCED BY THIS CERTIFICATE HAVE NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED (THE "SECURITIES ACT"), OR UNDER ANY APPLICABLE STATE SECURITIES LAWS, AND ARE SUBJECT TO RESTRICTIONS ON TRANSFER UNDER THE SECURITIES ACT AND SUCH LAWS.
Prior to or promptly following any Transfer of any Warrants or any shares of Restricted Warrant Stock, the holder of such Warrants or Restricted Warrant Stock shall give written notice (a "Transfer Notice") to the Company of such Transfer.
A Restricted Warrant may not be exchanged for a beneficial interest in a Global Warrant.
