Retained Projects. As defined in Section 2.5 hereof. -----------------

Retained Projects means the Mutual Retained Projects, Procter & ▇▇▇▇▇▇ Retained Projects, and Regeneron Retained Projects. 1.55. "Royalty Term" means the period from the first Net Sales in the first country to the final payment of royalties in the last country pursuant to Section 6.1. 1.56. "Section" means any section of this Agreement. 1.57. "Securities Agreements" mean the following agreements between the parties: the Registration Rights Agreement, the Securities Purchase Agreement and the Warrant Agreement, all dated May 13, 1997, as each may be amended, supplemented or modified from time to time and the Stock Purchase Agreement and Registration Rights Agreement both dated December 11, 1996, as each may be amended, supplemented or modified from time to time. 1.58. "Success Criteria" means the specific criteria set forth in a Research Project Plan and Research Collaboration Plan and approved by the OC that define the minimum technical and commercial requirements for a Research Compound to be designated a Development or Lead Compound. 1.59. "Sumitomo Compound" means any Compound which: (a) is claimed by a Regeneron Patent; (b) is owned by Regeneron prior to the Effective Date, or conceived and solely reduced to practice solely by Regeneron during the Research Term; and

• All publicity, paid advertisements, press notices, interviews and other information with respect to the Projects (except for the Seller Retained Projects) shall be under Purchaser’s sole control and Purchaser shall have the sole right to submit such Projects (and episodes thereof) for award nominations and consideration.

• Eldorado will cause Brazauro to honour all termination obligations for the employees related to the Retained Projects under such employment agreements as are disclosed in Schedule 5.7 of the Disclosure Letter, including, without limitation, by paying to the individuals party to such agreements, in each case, such amounts as set out therein.

• Purchaser agrees, at the sole cost and expense of Seller, to use its reasonable efforts to assist Seller with the collection of any payment on the Retained Projects.

• Seller and Purchaser acknowledge and agree ----------------- that all customer accounts receivable of the Telecom Division that arose prior to the Closing Date (including those arising from Retained Projects), and all trade accounts receivable of Seller and all rebates receivable from vendors arising at any time (the "Accounts Receivable") are and shall remain the assets of Seller.

• Seller agrees that the Retained Projects will be delivered to the customers free and clear of all Liens.

• Schedule 2.5 hereto contains a list ------------------------------- ------------ of all outstanding projects of the Telecom Division (including the Retained Project Contracts), other than the Transferred Projects, which outstanding projects shall be retained by Seller and not constitute a Transferred Project (the "Retained Projects").

• Seller hereby retains Purchaser to complete the Retained Projects on behalf of Seller, and Purchaser agrees to complete the Retained Prospects on behalf of Seller and to give the Retained Projects the same general priority, quality and timely completion as it gives to its own projects.

• Following the approval of the Arrangement Resolution, Brazauro shall terminate all employment arrangements with employees of Brazauro and its subsidiaries that relate to the Retained Projects.

• New Brazauro shall assume all termination obligations with respect to such employees of Brazauro and its subsidiaries, except for those employees related to the Retained Projects under employment agreements as are disclosed in Schedule 5.6 of the Disclosure Letter.
