Each Beneficial Owner wishing (and eligible) to retain its VRRM-MFP Shares shall provide a Retention Notice in substantially the form of and containing the information set forth in Exhibit D hereto to the Remarketing Agent and the Calculation and Paying Agent as provided in Section 2.2(c) of the Supplement.
