Revenue Sharing Payment definition

Revenue Sharing Payment means any additional amounts payable to any Ground Lessor as a Shared Ground Lease Payment under (i) any Ground Lease in effect as of the Effective Date, (ii) renewals and extensions of any Ground Lease executed after the Effective Date pursuant to terms contained therein on the Effective Date or (iii) any renewals or extensions of a Ground Lease executed after the Effective Date that do not increase any revenue sharing percentage beyond the amount immediately prior to the effectiveness thereof.
Revenue Sharing Payment or “RSP” means the amount, if any, for a Settlement Month, expressed in Dollars, as calculated in accordance with Exhibit J.
Revenue Sharing Payment is a payment calculated pursuant to Exhibit 4.2 and to be made by the Generator to the Counterparty pursuant to Section 4.2(b).

  • If the reconciliation establishes that the Developer has overpaid the Revenue Sharing Payment due for any Agreement Year, the Department will refund to the Developer the amount of any overpayment within 150 days of the end of such Agreement Year.

More Definitions of Revenue Sharing Payment

Revenue Sharing Payment means the excess, if any, of (a) the Revenue Sharing Amount for an applicable Quarter; over (b) an amount equal to the Indemnification Offset as of the applicable Revenue Sharing Payment Date. Provided, that in no event may any further reductions be made from Revenue Sharing Payments on account of a quantity “(b)” after a cumulative total of $2,500,000 of such reductions have been made from Revenue Sharing Payments. It is understood that such reductions from Revenue Sharing Payments shall be Parent’s sole remedy for claims arising from the Indemnification Amount.
Revenue Sharing Payment means the periodic payment due and owing by the Issuer under the Notes issued pursuant to this Agreement and calculated by multiplying the applicable Revenue Sharing Percentage times Gross Revenues for the Reporting Period.

For purposes of the foregoing clause (a), a new Client shall be deemed generated jointly by any party that materially contributes to the marketing effort that results in such Client becoming a Client. “Reverse Financing Fee” has the meaning set forth in Section 9.3(a).
