Reversion Product definition

Reversion Product means, with respect to any Terminated Region(s), any Licensed Product that is or has been the subject of clinical Development or Commercialization hereunder.

Reversion Product means any product that contains a Reversion Compound.

Reversion Product has the meaning set forth in Section 13.4(b)(i).

• Upon Xxxxx’s request, Gilead shall provide Merus with reasonable assistance and cooperation regarding any inquiries and correspondence with Regulatory Authorities relating to the Reversion Product.

• Bayer shall, upon request of Eidos against reimbursement of reasonable cost, provide such knowledge transfer and other training to Eidos or its designated Affiliate or Third Party as reasonably necessary for Eidos or such designated Affiliate or Third Party to continue such Clinical Trial for the applicable Reversion Product.

• In connection with the termination of this Agreement, other than by Bayer pursuant to Section 13.3(a), if, as of the effective date of termination of this Agreement, Bayer or its Affiliates are conducting any Clinical Trials for the Reversion Product, then, at Eidos’ election on a Clinical Trial-by-Clinical Trial basis within the general request for the Reversion Product and within due course after a Reversion Product request, [***].

• Gilead shall (and shall cause its Affiliates and Sublicensees to) promptly transfer and assign to Merus all Product Trademarks used for the Reversion Product (excluding any such mark that includes, in whole or in part, any corporate name or logo of Gilead or its Affiliates or Sublicensees).

Reversion Product means, with respect to a Terminated Territory, a Licensed Product, that is not a Combination Product, Directed to a Terminated Target in such CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY [***], HAS BEEN OMITTED BECAUSE IT IS NOT MATERIAL AND WOULD LIKELY CAUSE COMPETITIVE HARM TO THE COMPANY IF PUBLICLY DISCLOSED. Terminated Territory and is the subject of clinical Development or Commercialization by or on behalf of AbbVie, its Sublicensees or any of their respective Affiliates in the Territory on or prior to the effective date of termination of this Agreement.

Reversion Product means, with respect to any Terminated Country(ies), any Terminated Product that (a) is or has been the subject of development or commercialization under this Agreement and (b) either (i) contains a Licensed Compound as the sole active ingredient, or (ii) contains as its sole active ingredients a Licensed Compound and one or more generic active ingredients. ***Confidential Treatment Requested

Reversion Product means any Qualifying Terminated Product that Specifically Binds to a Terminated Target that is being actively Developed or Commercialized by Novartis, its Affiliate or Sublicensee as of the applicable notice of termination or, if no such Qualifying Terminated Product that Specifically Binds to such Terminated Target is being actively Developed or Commercialized by Novartis, its Affiliate or Sublicensee as of such time, the most recent Qualifying Terminated Product that Specifically Binds to such Terminated Target to have been under Development or Commercialization by Novartis, its Affiliate or Sublicensee.

Reversion Product has the meaning set forth in Section 13.6(a).

Reversion Product means, with respect to a particular Terminated Miragen Target [*], (a) any Miragen Compound that Targets a particular Miragen Target in such Terminated Miragen Target [*] and was identified by Miragen prior to termination of this Agreement for such Terminated Miragen Target [*] or (b) any Product that contains or consists of any Miragen Compound described in clause (a) above, wherein such Product is in the form in existence or contemplated prior to such termination. For the avoidance of doubt, such Product described in clause (b) above in such existing or contemplated form may contain any Miragen Compound described in clause (a) above.

Reversion Product means all Licensed Products in the form that each such Licensed Product exists as of the effective date of termination of this Agreement (but excluding any Other Active Ingredients or other components in any Combination Products).

Reversion Product has the meaning given in Clause 33.2(d). Certain confidential information contained in this document, marked by [***], has been omitted because it is both (i) not material and (ii) is the type that the registrant treats as private or confidential.
