Second Exercise Date definition

Second Exercise Date shall have the meaning set forth in Section 2.1.6(c).
Second Exercise Date. Strict compliance with the conditions of this option and the exercise thereof is deemed material to the parties. Tenant's failure to exercise this option, including the timely naming of an appraiser, within ten (10) days of receiving written notice from Landlord, time being of the essence, that Tenant has failed to exercise this option by the Second Exercise Date, shall be deemed a waiver of this option by Tenant, in which event this Lease shall expire on the Termination Date for the First Option Period.
Second Exercise Date means the later of (i) April 1, 1997, or (ii) the first date following the fifth anniversary of the Closing that an Independent Investment Bank shall have delivered to the Key Employees and Toray its written opinion as to the Market Value of the Company as of the financial quarter ended December 31, 1996, provided, however, that the parties hereto shall use their best efforts to cause such written opinion to be delivered prior to March 31, 1997.

  • Put Notice Date means the Trading Day, as set forth below, immediately following the day on which the Investor receives a Put Notice, however a Put Notice shall be deemed delivered on (a) the Trading Day it is received by facsimile or otherwise by the Investor if such notice is received prior to 9:00 am Eastern Time, or (b) the immediately succeeding Trading Day if it is received by facsimile or otherwise after 9:00 am Eastern Time on a Trading Day. No Put Notice may be deemed delivered on a day that is not a Trading Day.
