New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.
Initial Exercise Date shall have the meaning ascribed to such term in the Preamble.
Exercise Date means the last day of each Offering Period.
Automatic Exercise Date means, with respect to an Option or a Stock Appreciation Right, the last business day of the applicable Option Term or Stock Appreciation Right Term that was initially established by the Administrator for such Option or Stock Appreciation Right (e.g., the last business day prior to the tenth anniversary of the date of grant of such Option or Stock Appreciation Right if the Option or Stock Appreciation Right initially had a ten-year Option Term or Stock Appreciation Right Term, as applicable).
Option Exercise Date has the meaning specified in Section 2.1.
Initial Warrant Exercise Date means __________, 1997.
Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:
Option Exercise Period has the meaning set forth in Section 5.3(c).
Initial Exercise Price shall have the meaning set forth in Section 2.4.1.
Call Option Date As defined in Section 10.01(a) hereof.
Option Date means, with respect to any Stock Option, the date on which the Stock Option is awarded under the Plan.
Date of Exercise means the date on which the Holder shall have delivered to the Company: (i) the Exercise Notice (with the Warrant Exercise Log attached to it), appropriately completed and duly signed and (ii) if such Holder is not utilizing the cashless exercise provisions set forth in this Warrant, payment of the Exercise Price for the number of Warrant Shares so indicated by the Holder to be purchased.
Reload Option means any Option granted under Section 6(a)(iv) of the Plan.
Call Option Period has the meaning given to it in Condition 6.04 (Call Option);
Aggregate Option Exercise Price means an amount equal to the aggregate dollar amount of the exercise price on all Company Options outstanding immediately prior to the Effective Time.
SAR means a stock appreciation right granted under the Plan.
Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.
Demand Exercise Notice has the meaning set forth in Section 2.1(a).
Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.
Top-Up Option has the meaning set forth in Section 1.04(a).
Option Grant Date means, as to any Stock Option, the latest of:
Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.
Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.
Strike Date means 12 March 2014, subject to postponement in accordance with the following provisions. If on the Strike Date the Reference Price of an Underlying is not determined and published or if on the Strike Date a Market Disruption Event with respect to an Underlying occurs, then the next following Exchange Business Day on which the Reference Price of such Underlying is determined and published again and on which a Market Disruption Event with respect to such Underlying does not occur will be deemed to be the relevant Strike Date for such Underlying.
Put Notice Date means the Trading Day, as set forth below, immediately following the day on which the Investor receives a Put Notice, however a Put Notice shall be deemed delivered on (a) the Trading Day it is received by facsimile or email by the Investor if such notice is received prior to noon Eastern Time, or (b) the immediately succeeding Trading Day if it is received by facsimile or otherwise after noon Eastern Time on a Trading Day. No Put Notice may be deemed delivered on a day that is not a Trading Day.
Aggregate Exercise Price means, in connection with the exercise of this Warrant at any time, an amount equal to the product obtained by multiplying (i) the Exercise Price times (ii) the number of shares of Common Stock for which this Warrant is being exercised at such time.
