Upon any such resignation or removal, the Secondary Purchasers shall have the right to appoint a successor Administrative Agent approved by the Seller (which approval will not be unreasonably withheld or delayed).
Each of the Purchasers and the Secondary Purchasers expressly consents to such reallocation and waives compliance with the notice requirement set forth in the first sentence of Section 2.01(d) of the Primary Purchase Agreement.

The Administrative Agent may resign at any time by giving 30 days' written notice thereof to the Purchasers, the Seller, the Collection Agent and the Secondary Purchasers and may be removed at any time with or without cause by the Required Purchasers.
Secondary Purchasers expressly reserve their right to supplement their intervention and raise specific issues with regard to the proposed Plant sale transaction if the settlement is not finalized and notices of termination are not filed in a timely fashion.
