The Performance Guarantor does not guarantee the collectability of the receivables or any obligations of the Securitization Issuer as borrower under the Securitization Facility.
Whilst each sale of Securitized Assets is made without recourse to the relevant Seller, each Seller remains liable to the Securitization Issuer for all representations, covenants, deemed collection/repurchase obligations and indemnities made or entered into by it.
The Securitization Issuer is also permitted to voluntarily repay the outstanding principal balance of the Senior Notes in whole or in part on any weekly settlement date without premium or penalty, other than customary "breakage" costs (if any).
