Segregated Employees definition

Segregated Employees means (a) the accounting employees of Inotera that are responsible for performing, reviewing and approving the calculation of the Price for any DRAM Product sold to the Purchaser under this Agreement, and (b) the president of Inotera and the senior officer responsible for financial management of Inotera, provided that no [***], if any, shall be permitted to be a Segregated Employee.
Segregated Employees means any employee or other Representative (other than any third party professional adviser who has implemented customary protocols and procedures to restrict the sharing of Segregated Information and Segregated Resources) of any Seller or Seller Controlled Affiliate who has had any direct involvement with any of the Customers or has been involved in the day to day operations of the Business (including, without limitation, any employee or Representative involved in sales or operations with respect to any Customer or Customer Contract);

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Auxiliary Employee meaning an employee who is employed for work which is not of a continuous nature such as: 1. seasonal positions; 2. positions created to carry out special projects or work which is not continuous; 3. temporary positions created to cover employees on vacation, short term disability leave, education leave, compassionate leave, or other leave; 4. temporary positions created by special programs such as the summer student employment program, winter works programs for the unemployed, emergencies such as floods or other special temporary programs;

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Participating employee means an employee whose election to participate in a Plan has been approved by the employer.
