Seller Business Employees definition

Seller Business Employees means all employees of the Seller and the Canadian Subsidiary exclusively or primarily engaged in the Business as of the date hereof and listed on Schedule 9.1(a).
Seller Business Employees has the meaning ascribed to it in Section 3.14(a).
Seller Business Employees means all employees of the Seller listed on Schedule 6.1.

  • Seller shall be solely responsible for all severance and any other payments or benefits with respect to any Purchased Subsidiary Employees or Seller Business Employees who terminate employment prior to the Closing and/or who reject an offer of employment with the Buyer or the Purchased Subsidiaries.

  • Effective as of the Closing, all Seller Business Employees who participate in the Seller's 401(k) Plan shall cease to participate in said plan.

  • The Buyer shall offer employment commencing on the Closing Date to all Asset Seller Business Employees, including, without limitation, those on vacation, military leave, leave of absence (whether paid or unpaid), disability or layoff, on the terms set forth in Section 9.4.

  • Except to the extent prohibited by applicable law or regulation, the Buyer shall offer employment commencing the day after the Closing Date to all Seller Business Employees, including those on vacation, military leave, leave of absence (whether paid or unpaid), or short-term disability, other than those Seller Business Employees listed on Schedule 6.1, in accordance with the terms and conditions of this Article VI.

  • Seller and Buyer shall (or shall cause one of their respective Affiliates to) provide to the Seller Business Employees all information required under Applicable Law in connection with any offers of employment or transfers of employment by operation of Applicable Law contemplated by this Section 9.01(a).

Seller Business Employees means each employee of Seller Parent and its Subsidiaries (excluding the Sold Company) who is (a) primarily engaged in the Business, or (b) otherwise agreed by Seller Parent and Purchaser to be classified as an employee of the Business.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Current Employees has the meaning set forth in Section 6.4(a).

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.
