  • Since the date of this Agreement, there shall not have been any Effect that has had or would reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect on the holders of the Seller Common Units.

  • Seller Common Stock means the common stock, par value $0.01 per share, of Seller.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Merger Sub Common Stock means the common stock, par value $0.01 per share, of Merger Sub.

  • Class A Common Shares means shares of the Class A Common Stock, par value $.01 per share, of the Company.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.

  • REIT Shares means shares of common stock, $0.01 par value per share, of the Company.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.
