Parent shall be solely responsible and shall indemnify and hold harmless Buyer, the Transferred Companies and their respective Affiliates from Losses relating to the terminations or transfers of employment of Remote Employees and Seller Retained Employees described in this Section 9.3(b), other than, in the case of the Remote Employees, as a result of Buyer’s (or its Subsidiaries’) failure to comply with its obligations as set forth in this Section 9.3(b).

Buyer and its Affiliates (including, following the Closing Date, any Acquired Company) shall not have any responsibility for liabilities relating to or in respect of (1) any Offer and Acceptance Employees or Transferring Employees who do not become New Buyer Employees, except as expressly provided herein, (2) Seller Retained Employees, (3) current employees of the PKI Group who are not Business Employees or (4) Former Business Employees.
The Outdoor Business Assets (together with (i) the Administrative Assets, (ii) the Spin-Off Office Items, (iii) the Spin-Off Internet Items, (iv) the Seller Marks relating to the Outdoor Business, (v) the Seller Retained Employees, (vi) the Shared Contracts which are Spin-Off Business Assets and (vi) any Software not constituting Outdoor Intellectual Property) are materially all of the assets that were used in generating the financial performance of the Outdoor Business.
