SemGroup Parties definition

SemGroup Parties means SemGroup and Executive’s Employer.
SemGroup Parties means SemGroup and each of its direct and indirect subsidiaries, other than SGLP GP, SGLP and each of its direct and indirect subsidiaries. For purposes of this agreement, no SGLP Party shall be considered an affiliate of any SemGroup Party.

  • Time is of the essence in the performance by the SemGroup Parties of their respective obligations under this Agreement.

  • If Executive has a Separation from Service initiated by the Executive other than for Good Reason, Disability or death, the sole obligation of the SemGroup Parties to Executive under this Article II shall be to pay Executive a lump-sum cash amount equal to all Accrued Obligations determined as of the Termination Date.

  • In April 2005, OfCom instituted supervisory proceedings regarding its compliance with the Digital Cinema License, after Teleclub had filed a complaint against OfCom that OfCom initially had not taken any action against Cablecom following a first complaint by Teleclub alleging a violation of its license conditions.

  • The SemGroup Parties and the Underwriters agree that it would not be just and equitable if contribution were determined by pro rata allocation or any other method of allocation which does not take account of the equitable considerations referred to above.

  • Notwithstanding anything to the contrary herein, this release shall not release or discharge (x) any Claims other than the Specified SGLP Released Claims, (y) any Claims against any officers, directors, employees, managers or outside accountants of any of the SemGroup Parties or (z) any Claims relating to or arising out of this Agreement, including those described in Section 2.1(a), 2.2(a) and 2.2(b), or any of the Transaction Documents.

  • Each of the SemGroup Parties has all requisite power and authority to execute and deliver this Agreement and perform its respective obligations hereunder.

  • This indemnity agreement will be in addition to any liability which the SemGroup Parties may otherwise have.

Related to SemGroup Parties

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Parent Parties means Parent and Merger Sub.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Company Entities means the Company and the Company Subsidiaries.

  • Parent means a "parent corporation," whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Operating Partnership has the meaning set forth in the preamble.

  • Sponsor Parties means Sponsor, Vendor, and Utility, their respective successors and assigns, and each of their respective affiliates, agents, directors, officers, and employees.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • PAA means Plains All American Pipeline, L.P., a Delaware limited partnership.

  • Buyer Parties has the meaning set forth in the Preamble.

  • Investor Parties has the meaning set forth in the Preamble.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • Parent Related Parties means each of Parent, Merger Sub, any of their respective former, current or future equityholders, controlling Persons, limited or general partners, managers, members, Affiliates, directors, officers, employees, agents, attorneys, stockholders, assignees or Representatives.

  • Constellation has the meaning assigned to that term in the Recitals.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Sponsor Entities means (i) WHR Holdings, LLC, Esquisto Holdings, LLC, WHE AcqCo Holdings, LLC, WildHorse Investment Holdings, LLC, Esquisto Investment Holdings, LLC, NGP IX Holdings, L.P., NGP X US Holdings, L.P., NGP XI Holdings, L.P., and CP VI Eagle Holdings, L.P. and (ii) any of their respective Affiliates and any investment fund or other Person advised or managed by any Sponsor Entity, in each case, which owns or owned a direct or indirect interest in the Company; provided, however, that neither the Company nor any of its subsidiaries shall be considered Sponsor Entities hereunder.

  • Company Ancillary Agreements means, collectively, each certificate to be delivered on behalf of the Company by an officer or officers of the Company at the Closing pursuant to Article VII and each agreement or document (other than this Agreement) that the Company is to enter into as a party thereto pursuant to this Agreement.

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • MCH means the Maternal and Child Health Service provided by a council to support the health and development of children within the municipality from birth until school age

  • Selling Parties shall have the meaning specified in the preamble.
