  • If the Executive has a Separation from Service initiated by theExecutive other than for Good Reason, the Executive may voluntarily terminate this Agreement and the employment of the Executive by providing SemGroup Parties with sixty (60) days' prior written notice of the same.

  • The SemGroup Parties and the SGLP Parties each separately intend the settlement to be a final and complete resolution of all disputes between them with respect to the subject matter of this Agreement and the mutual releases herein.

  • Time is of the essence in the performance by SemGroup Parties of their respective obligations under this Agreement.

  • Time is of the essence in the performance by the SemGroup Parties of their respective obligations under this Agreement.

  • Each SGLP Party acknowledges and agrees that such SGLP Party forever disclaims any right, title or interest of any nature, whether legal, equitable, beneficial, or otherwise, in any of the SGLP Transferred Assets and agrees that all of its respective current and future rights, title and interests therein have been fully conveyed to the SemGroup Parties without any reservation of interest of any nature.

  • The Executive agrees that if SemGroup Parties terminate the Executive for Disability, this Agreement will have been frustrated and, in any event, that accommodating a Disability would impose undue hardship on SemGroup Parties.

  • As soon as practicable after the date hereof, (i) the SemGroup Parties will file the appropriate documents to evidence the release of the SGLP Lenders’ Liens on the SGLP Transferred Assets and (ii) the SemGroup Parties will file a notice of bankruptcy filing of the SemGroup Parties in the relevant jurisdictions.

  • The SemGroup Parties will use their commercially reasonable efforts to work with the SemGroup Lenders to take all reasonable action to confirm the removal of any and all Liens on the SemGroup Transferred Assets by the SemGroup Lenders.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Company Entities means the Company and its Subsidiaries.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Operating Partnership has the meaning set forth in the preamble.

  • Sponsor Parties means Sponsor, Vendor, and Utility, their respective successors and assigns, and each of their respective affiliates, agents, directors, officers, and employees.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • PAA means Plains All American Pipeline, L.P., a Delaware limited partnership.

  • Buyer Parties means Buyer, its Affiliates, their members, officers, directors, employees, agents, representatives, successors, and assigns.

  • Investor Parties has the meaning set forth in the Preamble.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • Parent Related Parties means, collectively, (i) Parent or Merger Sub; and (ii) the former, current and future holders of any equity, controlling persons, Representatives, Affiliates (other than Parent or Merger Sub), members, managers, general or limited partners, stockholders and assignees of each of Parent and Merger Sub.

  • Constellation has the meaning assigned to that term in the Recitals.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Sponsor Entities means AP Talos Energy LLC, AP Talos Energy Debtco LLC, Apollo Management VII, L.P., AIF VII Management, LLC and its affiliates, Apollo Commodities Management, L.P. with respect to Series I, Apollo Commodities Management GP, LLC and its affiliates, Apollo Global Securities, LLC and its affiliates, Riverstone Talos Energy Equityco LLC, Riverstone Talos Energy Debtco LLC, REP Management Company V, LLC, Riverstone Equity Partners LP and Riverstone Holdings LLC and its affiliates.

  • Company Ancillary Agreements means, collectively, each certificate to be delivered on behalf of the Company by an officer or officers of the Company at the Closing pursuant to Article VII and each agreement or document (other than this Agreement) that the Company is to enter into as a party thereto pursuant to this Agreement.

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • MCH means the Maternal and Child Health Service provided by a council to support the health and development of children within the municipality from birth until school age

  • Selling Parties shall have the meaning specified in the preamble.

  • Contributors has the meaning set forth in the initial paragraph hereof.
