Senior Unsecured Credit Facility definition

Senior Unsecured Credit Facility means the $5.5 billion senior unsecured credit facility, originally comprised of (i) a $2.75 billion revolving credit facility, and (ii) a $2.75 billion term loan, governed by that certain Credit Agreement, dated as of March 23, 2006, as amended, modified, and supplemented from time to time, including the conversion of all outstanding revolving credit facility obligations to term loan obligations, among CFGI as borrower, certain Proponent Debtor and non-debtor affiliates of CFGI as designated borrowers, certain Proponent Debtor and non-debtor guarantors, the several lenders from time to time party thereto, and Citibank, N.A., as administrative agent, and having an outstanding balance as of the Commencement Date of approximately $3,935,110,607, inclusive of principal, interest, and fees; provided, however, and for the avoidance of doubt, the Senior Unsecured Credit Facility shall not include the Japanese Credit Facility.
Senior Unsecured Credit Facility means, collectively, the Term Loan Agreement dated as of April 20, 2012 among the Company, Bank of America, N.A., as administrative agent and the lenders from time to time party thereto (the “Term Loan Agreement”), and the Revolving Credit Agreement dated as of April 20, 2012 among the Company, Bank of America, N.A., as administrative agent, swing line lender, fronting L/C issuer and several L/C agent and the lenders from time to time party thereto (the “Revolving Credit Agreement”), as the Term Loan Agreement or the Revolving Credit Agreement may be amended, replaced, refinanced, amended and restated, supplemented or otherwise modified from time to time.
Senior Unsecured Credit Facility means the Exchangeable Senior Unsecured Credit and Guaranty Agreement, dated as of August 15, 2007, entered into by and among AX Acquisition, Borrower, certain subsidiaries of Borrower, as guarantors, the lenders party thereto from time to time, GSCP, as Administrative Agent, Sole Lead Arranger, Sole Bookrunner and Syndication Agent, as amended, extended, refinanced and replaced from time to time in accordance with this Agreement, as amended, restated, modified, renewed, refunded, replaced (whether upon or after termination or otherwise), substituted or refinanced (including by means of a receivables financing or sales of debt securities to institutional investors) in whole or in part from time to time in compliance with this Agreement, including any agreement extending the maturity of, refinancing, replacing or otherwise restructuring (including increasing the amount of available borrowings or letters of credit thereunder or adding Subsidiaries of the Borrower as additional borrowers or guarantors thereunder) all or any portion of the Indebtedness under such agreement or any successor or replacement agreement and whether by the same or any other agent, lender or group of lenders.
