If at any time the Issuer shall request the Trustee to enter into any such Supplemental Indenture for any of the purposes of this Section, the Trustee shall cause notice of the proposed execution of such Supplemental Indenture to be mailed to each Bondowner, each owner of the Series 1994A Bonds and the Credit Enhancer (and a copy of such proposed Supplemental Indenture shall be mailed with such notice to the Credit Enhancer.
On the Closing Date, the Partnership shall specify to the Disbursement Agent in writing the Construction Interest Requirement in respect of the Securities and the Series 1994A Bonds.
Further, no change from a Weekly Mode to any other Interest Mode may occur unless a corresponding change in Interest Mode with respect to the Series 1994A Bonds occurs on the same date.
Investment Securities will be deposited with the Prior Trustee upon the issuance and delivery of the Series 2010A Bonds and will be held in trust for the payment of such principal and redemption premium of and interest on, the Refunded Series 1994A Bonds.
This debt service reserve requirement means $32,620 (which consists of $29,520 (the maximum annual principal and interest payments) of the Series 1994A Bonds] and $3,108.00 (the maximum annual principal and interest payments of the Series 1994B Bonds) or from and after the date of issuance of any Parity Bonds, $32,628 plus the maximum annual principal and interest payment on each parity bond issued and outstanding.
Amounts in the Escrow Account will be used to refund the Series 1994A Bonds maturing on and after February 1, 2014 (the “Series 1994A Refunded Bonds”).
Such notice shall briefly set forth the nature of the proposed Supplemental Indenture and shall state that copies thereof are on file at the Principal Office of the Trustee for inspection by all Bondowners and owners of the Series 1994A Bonds and a copy of such proposed supplemental Indenture shall be mailed with such notice t6 the Credit Enhancer.
The Series 1994A Bonds, maturing July 1, 2024, are a tax-exempt issuance used to fund construction of the Icahn Medical Institute and were partially refunded and refinanced with the Series 2010A Bonds, of which, the School made its final debt service payment in July 2021.
The notional amount of the Swap is$227.9 million and was issued to assure lower interest rates on $219.5 million of Series 1994A Bonds.
If at any time the Issuer, the Credit Enhancer and the Borrower shall request the consent of the Trustee to any such proposed amendment, change or modification to such documents, the Trustee shall cause notice of such proposed amendment, change or modification to such documents to be given in the same manner as provided by Section 1002 hereof with respect to Supplemental Indentures and the corresponding supplemental indentures with respect to the Series 1994A Bonds.
