Such Purchaser shall have received evidence satisfactory to it that the $42,600,000 Anaheim Public Financing Authority Taxable Lease Revenue Bonds (Anaheim Arena Financing Project) 2003 Series A (the “Series 2003 Bonds”), have been redeemed in full and the lease agreement and all other agreements and documents relating to the Series 2003 Bonds have been terminated.
Each of (i) the $34,969,367 letter of credit issued by Wachovia in connection with the Series 2000 Bonds, and (ii) the $9,804,000 letter of credit issued by Wachovia in connection with the Series 2003 Bonds.
On the basis of the representations and warranties herein contained, and subject to the terms and conditions herein set forth, the Issuer shall sell to each of the Underwriters, and each Underwriter shall purchase from the Issuer, at the time and place herein specified, severally and not jointly, at the purchase price set forth in Schedule I hereto, the principal amount of the Series 2003 Bonds set forth opposite such Underwriter's name in Schedule II hereto.
The issuance, sale and delivery of the Series 2003 Bonds and the execution and delivery of this Loan Agreement have been in all respects duly and validly authorized in accordance with the Acts by the Resolution.
The Issuer shall also, to the extent permitted by and consistent with the Issuer's obligations under applicable law, include in the periodic and other reports to be filed with the Commission as provided above, such information as required by Section 3.07(h) of the Indenture with respect to the Series 2003 Bonds.
