Series A Investors definition

Series A Investors means CW_toutiao Limited, xInternet Limited, ACE Redpoint Ventures China I, L.P., ACE Redpoint Associates China I, L.P., and ACE Redpoint China Strategic I, L.P.

Series A Investors means the Series A-1 Investors and Series A-2 Investors.

Series A Investors shall have the meaning specified in the Introduction.

Examples of Series A Investors in a sentence

• The rights of the Series A Investors may be waived in writing by the holders of a majority of the Series A Preferred Shares AND each holder of the Series A Preferred Shares who holds at least twenty-eight percent (28%) of all Series A Preferred Shares held by all of the holders of the Series A Preferred Shares, calculated as of the date of the Series A Initial Closing under the Series A Share Purchase Agreement.

• If any such Series A Investor elects to acquire less than such Series A Investor’s pro rata portion of the Securities offered, then the Series A Investors may acquire a pro rata portion of the remaining Securities which is equal to the proportion that such Series A Investor’s Series A Proportionate Percentage bears to the Series A Proportionate Percentage of all such Series A Investors who wish to acquire any of the balance of the remaining Securities.

• The Company shall, within five (5) days of the expiration of the Series A Notice Period, provide written notice to the fully participating Series A Investors indicating the number of shares of Offered Stock not elected to be purchased by the other Series A Investors (the "Company A Option Notice").

• The Company and a majority of the Series A Investors, hereby agree, as evidenced by their signatures hereto, that all rights granted and covenants made under the Prior Agreement are hereby waived, released and terminated in their entirety and shall have no further force or effect whatsoever.

• Each such Series A Investor shall have the right to purchase that percentage of the remaining Offered Stock determined by dividing (x) the total number of shares of Investor Stock then owned by such Series A Investor by (y) the total number of shares of Investor Stock then owned by all Series A Investors (in each case, calculated on an as converted to Common Stock basis).

More Definitions of Series A Investors

Series A Investors means the Persons set forth under the heading “Series A Investors” in Schedule A, and their respective successors and permitted assigns.

Series A Investors means the holders of the Company’s Series A Preferred Stock (including shares of Common Stock issuable upon the conversion thereof) listed on Exhibit A attached hereto, and includes any successor to, or assignee or transferee of, any such person who or which agrees in writing to be treated as a Series A Investor hereunder and to be bound by the terms and comply with all applicable provisions hereof
