Series A Junior Stock definition

Series A Junior Stock means the Series B Preferred Stock, Series TS Preferred Stock, Common Stock and any equity security of the Corporation that does not, by its terms, state that it ranks senior to or on parity with the Series A Preferred Stock with respect to rights upon a Liquidation Event (whether the liquidation prices per share thereof be different from those of the Series A Preferred Stock) resulting in the holders of any such class of stock or series being entitled to any other amounts distributable upon any Liquidation Event only after the Series A Holders shall have received the Series A Liquidation Preference.
Series A Junior Stock means, with respect to the Series A Preferred Stock, the Common Stock and any other class or series of capital stock of the Corporation ranking junior to the Series A Preferred Stock (as the context requires) in respect of rights to receive dividends, distributions, proceeds, payments on Capital Stock of the Corporation and redemption rights or otherwise not entitled to receive any assets upon any Liquidation until the Series A Preferred Stock shall have received the entire amount to which such stock is entitled upon such Liquidation.
Series A Junior Stock means the Common Stock and any other class or series of stock of the Corporation hereafter authorized over which the Series A Preferred Stock has preference or priority either or both as to the payment of dividends and in the distribution of assets on any liquidation, dissolution or winding up of the Corporation.

Examples of Series A Junior Stock in a sentence

  • The Series A Preferred Stock shall, with respect to dividend rights, distributions, redemption rights and rights on Liquidation rank (i) pari passu with any Series A Parity Stock and (ii) senior to all Series A Junior Stock.

Series A Junior Stock means the Common Stock, the Series B Preferred Stock and each other class of the Corporation’s capital stock or series of preferred stock established after October 2, 2020, by the Board of Directors, the terms of which do not expressly provide that such class or series ranks senior to or on a parity with the Series A Preferred Stock as to dividend rights or rights upon the liquidation, winding-up or dissolution of the Corporation.
Series A Junior Stock means and includes the Common Stock and any series of Preferred Stock ranking on liquidation junior to the Series A Preferred Stock.
Series A Junior Stock means the Common Stock and any other shares of capital stock of the Corporation ranking on liquidation junior to the Series A Preferred Stock.
Series A Junior Stock shall have the meaning set forth in Article SIXTH, Section (c)(5)c hereto.

Related to Series A Junior Stock

  • Junior Stock means the Corporation’s common stock and any other class or series of stock of the Corporation hereafter authorized over which Series I Preferred Stock has preference or priority in the payment of dividends or in the distribution of assets on any liquidation, dissolution or winding up of the Corporation.

  • Series A Junior Securities means any class or series of Partnership Interests that, with respect to distributions on such Partnership Interests and distributions upon liquidation of the Partnership, ranks junior to the Series A Preferred Units, including Common Units and Non-Voting Common Units, but excluding any Series A Parity Securities and Series A Senior Securities.
