Examples of Series Documents in a sentence
In the case of such a substitution the Trustee may agree, without the consent of the Noteholders or Couponholders, to a change of the law governing the Notes, the Coupons, the Talons and/or the Trust Deed and/or the Programme Documents or Specific Series Documents, as applicable, provided that such change would not in the opinion of the Trustee be materially prejudicial to the interests of the Noteholders.
In doing so, the appointed agent shall apply the provisions of the Conditions and/or the relevant Series Document(s), with any necessary consequential amendments, to the extent that, in its opinion, it can do so, and in all other respects it shall do so in such manner as it shall deem fair and reasonable in the circumstances.
Without prejudice to the provisions for the automatic termination of the appointment of an Agent in connection with the occurrence of an insolvency or similar event or proceedings in the relevant Series Documents, the Issuer shall use reasonable endeavours to at all times maintain (i) an Issuing and Paying Agent, (ii) a Calculation Agent and (iii) such other agents as may be required by any stock exchange on which the Notes may be listed.
With effect from the effective date of any such adjustment, the Issuer and the Series Parties shall take into account the relevant adjustment(s) so notified to it when making any determination and/or calculation it is required to make under the Conditions and the terms of the relevant Series Documents, as appropriate, and the Conditions of the Notes and the terms of the Series Documents shall be construed accordingly.
On completion of the formalities set out in this Condition 13.3, the Substituted Obligor shall be deemed to be named in these Conditions, the CA Pledge Agreement, the other Series Documents and the Notes as the principal debtor in place of the Issuer (or of any previous substitute) and these Conditions, the CA Pledge Agreement, the other Series Documents and the Notes shall be deemed to be amended as necessary to give effect to the substitution.
