Series Member definition

Series Member means a Person who has made a Capital Contribution to the Company in exchange for Membership Interests in a Series of the Company. Subsidiary or Subsidiaries shall mean the single purpose limited liability companies formed by the Founder to take title to individual Properties.
Series Member shall have the meaning set forth in the preamble of this Agreement, which may include the Member if the Member makes a Capital Contribution to a Series.
Series Member means the Sole Member, the V Members and any other Person admitted as an additional member of the Company associated with a Series or a substitute member of the Company associated with a Series pursuant to the provisions of this Agreement, each in its capacity as a member of the Company associated with such Series.

Examples of Series Member in a sentence

  • The Manager shall have the right to accept or reject the admission of any Person as a Series Member, acting in its sole discretion.

  • The Series and each Series Member shall file all tax returns and shall otherwise take all tax and financial reporting positions in a manner consistent with such treatment.

A Series Member may be a Series Member in any one, several or all of the Series. The direct association of a Person as a Series Member with any one Series is separate and distinct from such Person’s association as a Series Member with any other Series herein.
