Settlement Letter definition

Settlement Letter means the letter agreement between the Purchaser, the Seller and DD&Co Limited dated on or about the date of this Letter of Understanding.
Settlement Letter has the meaning given to that term in paragraph C of the Preamble above;
Settlement Letter is defined in Section 8.5(b).

  • Notwithstanding anything herein in to the contrary, neither the Company nor QCP waives or releases claims with respect to (i) any Claim that may not lawfully be waived, (ii) any right or claim that arises after the date this Settlement Letter is executed, or (iii) any Claim to enforce this Settlement Letter (the “Company/QCP Unreleased Claims”).

  • This Settlement Letter sets forth the entire agreement of the parties hereto in respect of the subject matter contained herein and supersedes all prior agreements, term sheets, promises, covenants, arrangements, communications, representations or warranties, whether oral or written, by any officer, employee or representative of any party hereto in respect of such subject matter.

  • You are advised to consult your personal tax and legal advisors in connection with the matters described in this Settlement Letter, and by countersigning this Settlement Letter in the space provided below, you represent and warrant that you have given the opportunity to consult with, and have consulted with, such advisors to the extent deemed advisable by you.


More Definitions of Settlement Letter

Settlement Letter means the letter dated July 20, 1999 by the Health Care Financing Administration of the Department of Health and Human Services, acknowledged and agreed to by Mariner Post Acute Network, Inc. and MHG, in form and substance acceptable to the Agents.
Settlement Letter means the letter agreement between the Parties relating to the Funded Participation and containing, among other things, details of the Settlement Amount and Traded Margin(s);
Settlement Letter means the letter to be sent by the Liquidating Trustee to all former Noteholders (other than insiders) offering to settle the Liquidating Trust’s Cause of Action to sue the former Noteholder to recover payments made to the former Noteholder on account of a Fully Repaid Exchange Note.
