Settlement Letter definition

Settlement Letter is defined in Section 8.5(b).
Settlement Letter means the letter agreement between the Parties relating to the Funded Participation and containing, among other things, details of the Settlement Amount and Traded Margin(s);
Settlement Letter means the letter to be sent by the Liquidating Trustee to all former Noteholders (other than insiders) offering to settle the Liquidating Trust’s Cause of Action to sue the former Noteholder to recover payments made to the former Noteholder on account of a Fully Repaid Exchange Note. The Settlement Letter shall set forth the total amount of all such payments and contain offer to settle, release and discharge all claims for the avoidance and recovery of such payments in exchange for a cash payment equal to 5% of the aggregate amount of such payments if and only if the former Noteholder actually delivers payment to the Liquidating Trustee within thirty (30) days of receipt of the Settlement Letter.

  • The parties agree that the effectiveness of this Settlement Letter shall occur on the occurrence of the Closing (as such term is defined in the PSA).

  • You acknowledge that you have read and understand this Settlement Letter, are fully aware of its terms and legal effect and have not acted in reliance upon any representations or promises made by the Company or any other party other than those contained in writing herein.

  • This Settlement Letter and any related dispute shall be governed by, and construed and interpreted in accordance with, the laws of the State of Delaware applicable to contracts executed in and to be performed in that State.
