Share for Share Exchange means any agreement or arrangement involving the transfer of all of the Equity Shares to another company in consideration of the issue by the transferee company of shares to all of the Equity Shareholders on terms such that the composition of the shareholders of the transferee company is not materially different to the composition of Equity Shareholders in the Company immediately prior to completion of the transaction in respect of their relative shareholdings in the relevant company;

Share for Share Exchange means the allotment of ordinary shares in the Company to GTU Ops Inc., as nominee for Computershare Trust Company, N.A., who in turn issued depositary receipts to the shareholders (“ DTZ Jersey Shareholders ”) of DTZ Jersey Holdings Limited (“ DTZ Jersey ”), as consideration for the contribution by the DTZ Jersey Shareholders to the Company of the entire issued share capital of DTZ Jersey.

Examples of Share for Share Exchange in a sentence

  • To the extent that any such dividend and/or distribution and/or other return of capital is declared, made or paid or is payable and it is: (i) transferred pursuant to the Acquisition on a basis which entitles Barrick to receive the dividend, distribution or return of capital and to retain it; or (ii) cancelled, the Share for Share Exchange Ratio will not be subject to adjustment in accordance with this paragraph.
