Shareholder Circular definition

Shareholder Circular means each of the Rio Tinto shareholder circular (and any supplementary shareholder circular) and the BHP Billiton shareholder circular (and any supplementary shareholder circular), in connection with the WA Iron Ore JV.

Shareholder Circular means a document as meant in best practice rule IV.3.7 of the Netherlands Corporate Governance Code (code tabaksblat) prepared by the Seller Boards to inform the Seller Shareholders Meeting including all facts and circumstances relevant in respect of the approval of this Agreement and the transactions contemplated hereby.

Shareholder Circular has the meaning set forth in Section 4.5.

• This shall not affect any announcement, communication or circular (other than the Shareholder Circular) required by law or any governmental or regulatory body, court order or the rules of any relevant stock exchange, but then only to the extent so required and the Party with an obligation to make an announcement or communication or issue a circular shall consult with the other Parties insofar as is reasonably practicable before complying with such an obligation.

• Seller shall prepare the Shareholder Circular and cause notice for the Seller Shareholders Meeting to be published in accordance with Article 22.5 of the Seller Articles as soon as practicable on or after the date hereof.
