Shareholder Liaison Services definition

Shareholder Liaison Services means "personal service and/or the maintenance of shareholder accounts" within the meaning of the Rules of Fair Practice of the National Association of Securities Dealers, Inc., such as responding to customers' inquiries and providing information on their investments.

"Administrative Support Services" include but are not limited to: (i) transfer agent and sub-transfer agent services for beneficial owners of shares of the Portfolio; (ii) aggregating and processing purchase and redemption orders; (iii) providing beneficial owners with statements showing their positions in shares of the Portfolio; (iv) processing dividend payments; (v) providing sub-accounting services for shares of the Portfolio held beneficially; (vi) forwarding shareholder communications, such as proxies, shareholder reports, dividend and tax notices, and updating prospectuses to beneficial owners; and (vii) receiving, tabulating, and transmitting proxies executed by beneficial owners; provided, however, that Administrative Support Services does not include Shareholder Liaison Services.

Examples of Shareholder Liaison Services in a sentence

  • For Class C shares of a Fund, the fee paid pursuant to this paragraph (A) shall not exceed an annual limit of 0.75% of the average daily net assets attributable to such shares.(B) Shareholder Liaison Services Fee.

  • Shareholder Liaison Services shall be provided pursuant to an agreement in substantially the form attached hereto ("Servicing Agreement").

  • Any organization providing distribution assistance may also become a Service Organization and receive fees for Shareholder Liaison Services pursuant to a Servicing Agreement under this Plan.

  • Shareholder Liaison Services shall be provided pursuant to an agreement in substantially the forth attached hereto ("Servicing Agreement").

  • You agree to provide Shareholder Liaison Services to your customers ("Clients") who may from time to time own of record or beneficially a Fund's B Shares.

  • You agree to provide Shareholder Liaison Services to your customers ("Clients") who may from time to time own of record or beneficially Shares of the Portfolio.

  • Such fees (for both Shareholder Liaison Services and Administrative Support Services) shall be calculated and accrued daily, paid monthly and computed in the manner set forth in the Shareholder Servicing Agreement, attached hereto as Appendix A.

  • Services may consist of Shareholder Liaison Services or Administrative Support Services.

  • A Provider that receives fees for Shareholder Liaison Services may also receive fees for Administrative Support Services, and vice versa.

Related to Shareholder Liaison Services

  • Transition Services means a coordinated set of activities for a child with a disability that:

  • Company Services means any services (including but not limited to technical and product support, technical advice, underwriting and customer services) supplied by the Company or its Affiliates in the specialty property and/or casualty insurance business.

  • Education Services means training services performed or delivered by Company.

  • Consulting Services means services of an advisory and intellectual nature provided by consultants using their professional skills to study, design, organize, and manage projects, encompassing multiple activities and disciplines, including the crafting of sector policies and institutional reforms, specialist advice, legal advice and integrated solutions, change management and financial advisory services, planning and engineering studies, and architectural design services, supervision, social and environmental assessments, technical assistance, and programme implementation;

  • Travel Services means transportation, accommodation or other travel arrangements including, without limitation, air, rail, bus passenger transportation, hotel accommodation and car hire services.

  • Cable Services means the transmission by cable of programs including retransmission by cable of any satellite television signals.

  • Supportive services means social, health, educational, income support and employment services and benefits, coordination of community building and educational activities, individualized needs assessment, and individualized assistance with obtaining services and benefits.

  • Protective services means expedited services that are provided:

  • Communication Services means aeronautical fixed and mobile services to enable ground-to-ground, air-to-ground and air-to-air communications for ATC purposes;

  • Education service provider means an education management organization, school

  • Independent living services means services and activities provided to a child in foster care 14 years

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Common Service Provider means a person nominated by the ICSDs to perform the role of common service provider;

  • Transition Services Agreement means the transition services agreement substantially in the form attached hereto as Exhibit B.

  • Distribution Services means the service of distribution, as defined in section 5 of the Act;

  • Personal wireless services means commercial mobile services, unlicensed wireless services, and common carrier wireless exchange access services, as defined by federal laws and regulations.

  • Services Coordinator means an employee of the community developmental disability program or other agency that contracts with the county or Division, who is selected to plan, procure, coordinate, monitor Individual Support Plan services, and to act as a proponent for individuals with developmental disabilities.

  • Information Services means the Municipal Securities Rulemaking Board’s Electronic Municipal Market Access System; or, such other services providing information with respect to called municipal obligations as the District may specify in writing to the Paying Agent or as the Paying Agent may select.

  • IT Services means any services relating to the IT Systems or to any other aspect of the Group’s data processing or other technology requirements, including software development, support or maintenance, consultancy, source code deposit, recovery and network services, facilities management or hardware maintenance; and

  • Beta Services means Xxxxxx services or functionality that may be made available to Customer to try at its option at no additional charge which is clearly designated as beta, pilot, limited release, developer preview, non-production, evaluation, or by a similar description.

  • Services plan means a written statement that describes the special education and related services the school district will provide to a parentally-placed child with a disability enrolled in a private school located in the district, including the location of the services and any transportation necessary, consistent with 34 CFR §§ 300.132, 300.137-139.

  • Hospice services means palliative and supportive care and other services provided by an interdisciplinary team under the direction of an identifiable hospice administration to terminally ill hospice patients and their families to meet the physical, nutritional, emotional, social, spiritual, and special needs experienced during the final stages of illness, dying, and bereavement, as defined in Minnesota Statutes, § 144A.75, subd. 8, and includes the set of services as determined by the Medicare program under §1861(dd) of the Social Security Act and defined in 42 CFR § 418.3.

  • Transitional Services means services involving technical or specialized knowledge required to complete a project or to provide temporary consulting services to the City.

  • Respite services means a temporary period of relief and support for individuals and their families provided in a variety of settings. The intent is to provide a safe environment with staff assistance for individuals who lack an adequate support system to address current issues related to a disability. Respite may be provided for a defined period of time; respite is either planned or provided in response to a crisis.

  • Mobile Services means the mobile telecommunications service which we provide you under Part D and as specified in your Application.

  • Project Services means architectural, engineering services, land surveying, construction management at-risk services, ancillary technical services or other construction-related services determined by the board to be required by the project.
