Shareholding Percentage definition

Shareholding Percentage means, with respect to any Member, the ratio (expressed as a percentage) of the number of Shares owned, directly or indirectly, by such Member and its Affiliates to the aggregate number of all the issued Shares. For the purposes of determining the number of Shares held by the Members, all Series A Preferred Shares shall be deemed to have been converted into Ordinary Shares at the then-applicable conversion ratio.
Shareholding Percentage means in relation to any Shareholder and at any time, means the total number of issued Shares (on an as-if converted basis) registered in the name of that Shareholder in the register of members at that time expressed as a percentage of all the issued Shares in the Share capital of the Company (on an as-if converted basis) as at that time, and “Shareholding Percentages” shall be construed accordingly. The Shareholding Percentage of each Shareholder (i) on the Completion Date is specified against its name in column (2) of Schedule 1;
Shareholding Percentage means the percentage of all ordinary shares beneficially owned by the relevant Shareholder in the issued share capital of the Company for the time being;

  • The Company hereby grants to each Shareholder the right to purchase a pro rata portion (based on its Shareholding Percentage) of New Securities that the Company may, from time to time propose to sell and issue.
