Shelf Agreement definition

Shelf Agreement means the 2014 Shelf Agreement or the 2019 Shelf Agreement.
Shelf Agreement is defined in the Merger Agreement as the Master Note Purchase Agreement dated as of December 4, 2014, by and among Cerner and the purchasers party thereto (the “2014 Shelf Agreement”) or the Master Note Agreement dated as of November 11, 2019, by and among Cerner and the purchasers party thereto, as amended on October 8, 2020 (the “2019 Shelf Agreement”).
Shelf Agreement means the Note Purchase and Private Shelf Agreement dated as of August 23, 2019 among the Company, LuxCo, AustriaCo, PGIM, Inc., the initial purchasers named therein and the other Prudential Affiliates (as defined therein) that become bound thereby from time to time, as amended, restated, supplemented or otherwise modified from time to time.

Shelf Agreement and "Operative Documents" shall include any agreement refinancing or replacing any of the foregoing (and corresponding terms, such as "Credit Agreement Obligations," "Senior Note Obligations", "Shelf Obligations", "Synthetic Lease Obligations","Senior Noteholder", "Shelf Noteholder", "Synthetic Lease Lender" and "Lender" shall be deemed amended accordingly); provided that no agreement refinancing or replacing any of the foregoing shall (i) in the case of a revolving credit facility, increase the amount available or shorten the scheduled availability period thereunder; or (ii) in the case of a term loan facility or note issuance, increase the amount outstanding thereunder or shorten the scheduled maturity of any installment thereof, without, in each case, the consent of the Required Benefited Parties.
