SIFMA Index Rate Conversion Date definition

SIFMA Index Rate Conversion Date means (a) the date on which the Bonds begin to bear interest at the SIFMA Index Rate or, (b) if the Bonds have previously borne interest at the SIFMA Index Rate during a SIFMA Index Rate Period then ending, the Index Interest Rate Mandatory Purchase Date occurring at the end of the then ending SIFMA Index Rate Period.
SIFMA Index Rate Conversion Date means (a) the date on which the Bonds begin to bear interest at the SIFMA Index Rate or (b) if the Bonds currently bear interest at a SIFMA Index Rate, the Mandatory Purchase Date occurring at the end of such SIFMA Index Rate Period.
SIFMA Index Rate Conversion Date means (a) the date on which the Series 2014_ Bonds begin to bear interest at the SIFMA Index Rate or (b) if the Series 2014_ Bonds have previously borne interest at the SIFMA Index Rate during a SIFMA Index Rate Period then ending, the Mandatory Purchase Date occurring at the end of the then ending SIFMA Index Rate Period.

More Definitions of SIFMA Index Rate Conversion Date

SIFMA Index Rate Conversion Date means the date on which the all or a part of the Bonds begin to bear interest at the SIFMA Index Rate.
SIFMA Index Rate Conversion Date means (a) the day on which 2015 Variable Rate Parity Bonds of a Series begin to bear interest at the SIFMA Index Rate or (b) if the 2015 Variable Rate Parity Bonds of a Series have previously borne interest at the SIFMA Index Rate during a SIFMA Index Rate Period then ending, the Index Floating Rate Conversion Date occurring at the end of the then ending SIFMA Index Rate Period.
SIFMA Index Rate Conversion Date means: (a) the date on which the Bonds begin to bear interest at the SIFMA Index Rate or (b) if the Bonds are currently bearing interest at the SIFMA Index Rate, any Unscheduled Mandatory Tender Date.

  • Mandatory Conversion Date has the meaning set forth in Section 7(a).

  • Interest Conversion Rate means the lesser of (a) the Conversion Price or (b) 85% of the lesser of (i) the average of the VWAPs for the 10 consecutive Trading Days ending on the Trading Day that is immediately prior to the applicable Interest Payment Date or (ii) the average of the VWAPs for the 10 consecutive Trading Days ending on the Trading Day that is immediately prior to the date the applicable Interest Conversion Shares are issued and delivered if after the Interest Payment Date.

  • Conversion Date shall have the meaning set forth in Section 4(a).

  • Applicable Conversion Rate means the Conversion Rate in effect at any given time.

  • Automatic Conversion Date has the meaning specified in Section 13.14(a).

  • Judgment Conversion Date as defined in subsection 10.8(a).

  • Reference Rate Determination Date means, in relation to any Reference Rate Business Day(i):

  • Forced Conversion Date shall have the meaning set forth in Section 6(d).

  • Term Loan Conversion Date means the Termination Date on which all Revolving Credit Advances outstanding on such date are converted into a term loan pursuant to Section 2.06.

  • Mid-Market Swap Rate Quotation means a quotation (expressed as a percentage rate per annum) for the relevant Mid-Market Swap Rate;

  • Interest Rate Change Date The date on which the Mortgage Interest Rate is subject to change as provided in the related Mortgage Note.

  • LIBOR Market Index Rate means, for any day, the rate for one-month U.S. dollar deposits as reported on Telerate Page 3750 as of 11:00 a.m., London time, for such day, provided, if such day is not a LIBOR Business Day, the immediately preceding LIBOR Business Day (or if not so reported, then as determined by the Swingline Lender from another recognized source or interbank quotation).

  • Fixed Conversion Rates means the Maximum Conversion Rate and the Minimum Conversion Rate.

  • Optional Conversion Date means, with respect to the Optional Conversion of any Convertible Preferred Stock, the first Business Day on which the requirements set forth in Section 10(d)(ii) for such conversion are satisfied.

  • 5-year Mid-Swap Rate Quotations means the arithmetic mean of the bid and offered rates for the annual fixed leg (calculated on a 30/360 day count basis) of a fixed-for-floating euro interest rate swap transaction which:

  • Quarterly Floating Rate Period means, for the initial Quarterly Floating Rate Period, the period commencing on September 20, 2018 and ending on and including December 19, 2018, and thereafter the period from and including the day immediately following the end of the immediately preceding Quarterly Floating Rate Period to but excluding the next succeeding Quarterly Commencement Date.

  • Continuation/Conversion Date means the date on which a Loan is converted into or continued as a LIBOR Rate Loan.

  • Pricing Rate Determination Date means with respect to any Pricing Rate Period with respect to any Transaction, the second (2nd) Business Day preceding the first day of such Pricing Rate Period.

  • Floating Rate Calculation Date means, for any Quarterly Floating Rate Period, the 30th day prior to the first day of such Quarterly Floating Rate Period.

  • Final Conversion Date means 5:00 p.m. in New York City, New York on the earlier to occur following the IPO of (i) the first Trading Day falling on or after the date on which the outstanding shares of Class B Common Stock represent less than ten percent (10%) of the aggregate number of shares of the then outstanding Class A Common Stock and Class B Common Stock, (ii) the tenth (10th) anniversary of the IPO or (iii) the date specified by affirmative vote of the holders of a majority of the outstanding shares of Class B Common Stock, voting as a single class.

  • Base Rate Term Loan means any portion of the Term Loan during any period in which it bears interest based on the Base Rate.

  • LIBOR Adjustment Date With respect to any Payment Date, the second business day before the related Accrual Period begins. For this purpose, a “business day” is a day on which banks are open for dealing in foreign currency and exchange in London, New York City and Washington, D.C.

  • Floating Rate Period shall have the meaning set forth in Section 2.05(b) hereof.

  • Daily Conversion Value means, for each of the 40 consecutive Trading Days during the relevant Observation Period, 2.5% of the product of (a) the Conversion Rate on such Trading Day and (b) the Daily VWAP on such Trading Day.

  • Interest Conversion Price means, with respect to any Interest Date, that price which shall be computed as 100.0% of the arithmetic average of the Weighted Average Price of the Common Stock on each of the ten (10) consecutive Trading Days immediately preceding the applicable Interest Date (each, an “Interest Measuring Period”). All such determinations to be appropriately adjusted for any stock split, stock dividend, stock combination or other similar transaction during such period.
