Siteworks Terms means these terms and conditions, including the annexes attached hereto;

  • However, for the avoidance of doubt, the Siteworks Procedures do not form part of these Siteworks Terms or any Contract, and a Party shall not have any liability to the other Party as a result of any compliance with or failure to comply with such Siteworks Procedures (unless such Party has expressly agreed in writing otherwise).

  • A reference in these Siteworks Terms to any Party shall include a reference to that Party’s successors and assigns.

  • For the purposes of TPD Section G7 the Siteworks Terms and Procedures shall allow for the Siteworks Contract to specify (at the request of the Siteworks Applicant) in relation to a Supply Point or Supply Point Component a request that the Firm Transportation Requirement be satisfied or (in the case of a TNI Supply Point) the Interruption Allowance be reduced following such Siteworks.

  • Additional Conditions 4.1 The conditions set out in paragraph 4.2 shall apply to the Self-Quotation Works in addition to or instead of (as the case may be) those in the Siteworks Terms.

  • Additional Conditions 4.1 Clause 2.4(a) shall be amended by replacing “ninety (90) calendar days” with “sixty (60) calendar days”; 4.2 The conditions set out in paragraph 4.3 shall apply to the Self-Quotation Works in addition to or instead of (as the case may be) those in the Siteworks Terms.

  • The Registered User may at any time request (subject to and pursuant to Siteworks Terms and Procedures as described in paragraph 7) that Daily Read Equipment be installed at any Supply Meter Point (other than one whose Annual Quantity does not exceed 73,200 kWh ( 2,500 therms)).

  • In the event of any conflict between a Quotation or Order (as the case may be) and the Clauses of these Siteworks Terms or the Annexes attached hereto, the Quotation or Order (as the case may be) shall prevail.

  • Unless the context otherwise requires, references to a Clause or Annex are to a Clause or Annex in these Siteworks Terms, and references in an Annex or part of an Annex to a paragraph or sub-paragraph are to a paragraph or sub-paragraph of that Annex or that part of that Annex.

  • Online Services Terms means the additional terms that apply to Customer’s use of Online Services published on the Licensing Site and updated from time to time.

  • Service Terms means the rights and restrictions for particular Services located at xxxx://xxx.xxxxxx.xxx/serviceterms (and any successor or related locations designated by us), as may be updated by us from time to time.

  • Product Terms means the document that provides information about Products available under this Agreement. The Product Terms document is published on the Licensing Site and is updated from time to time.

  • Application Software means Software formulated to perform specific business or technical functions and interface with the business or technical users of the System and is identified as such in Appendix4 of the Contract Agreement and such other Software as the parties may agree in writing to be Application Software.

  • Data Use Agreement means the agreement incorporated into the Contract to facilitate creation, receipt, maintenance, use, disclosure or access to Confidential Information.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean Xxxxx. • “you” and similar terms mean Client.

  • maximum content of non-originating materials means the maximum content of non-originating materials which is permitted in order to consider a manufacture to be working or processing sufficient to confer originating status on the product. It may be expressed as a percentage of the ex-works price of the product or as a percentage of the net weight of these materials used falling under a specified group of chapters, chapter, heading or subheading;

  • Computer software documentation means owner's manuals, user's manuals, installation instructions, operating instructions, and other similar items, regardless of storage medium, that explain the capabilities of the computer software or provide instructions for using the software.

  • Programme of work means the Programme of work submitted by the contractor and approved by the Engineer-in-charge and includes an amendment thereto made from time to time and approved by the Engineer-in-charge;

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Customized Software or “Customization” means any Application Software code modified or amended on behalf of the Customer. Setting of parameters, parameterization or configuration is not a Customization.

  • Hosted Software means the software owned and controlled by Vendor or Vendor’s third-party contractor that supports the Hosted Software Services.

  • Font Software means the software provided by Branding with Type which, when used on an appropriate Device or Devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • Statement of Work means the description of activities performed in completing the Project, as specified in the Contract and as may be amended.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • public works contract means any agreement between any individual, firm or corporation and the State or any political subdivision of the State other than a municipality for construction, rehabilitation, conversion, extension, demolition or repair of a public building, highway or other changes or improvements in real property, or which is financed in whole or in part by the State, including, but not limited to, matching expenditures, grants, loans, insurance or guarantees.

  • Access Terminal means any device used to access any of Your Accounts, including without limitation an ATM, a computer, a portable hand-held device, or a telephone, including any form of mobile telephone or Mobile Device.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Software License Agreement means the particular Software License Agreement to which these Terms and Conditions are attached and incorporated into by reference.
