Standard Software definition

Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.
Standard Software means the operating system pre-loaded on or included as standard with the Equipment from the manufacturer.
Standard Software means non-customized Software that (i) is so licensed solely in executable or object code form pursuant to a nonexclusive, internal use software license; (ii) is not incorporated into, or used directly in the development, manufacturing, or distribution of, the products of the Company; and (iii) is generally available on standard terms for either (A) annual payments by the Company of $25,000 or less or (B) aggregate payments by the Company of $25,000 or less.

  • If the Customer changes or updates the Standard Software or orders changes or updates to the Standard Software from third parties, the Supplier does not guarantee that the Customer will be able to make full use of any adjustments in the application logic of the Standard Software or of any modifications or additions to the Standard Software and the Supplier cannot and does not warrant that the Standard Software will function as required or expected by the Customer.

  • In exchange for the stipulated payment, the Customer acquires the right of internal use of the Standard Software.

  • In the event of termination (for any reason), the Customer shall permanently cease using and upon request return the Standard Software delivered by the Supplier to the Customer without being compensated in any way.

  • The Agreement, any particular conditions and Appendices and these General Terms and Conditions – Standard Software are to be construed as mutually explanatory of one another.

  • If the Customer has unsettled but payable debt to the Supplier for a period of 14 (fourteen) days after the due date and the Customer has been given written notice hereof, the Supplier has the right to suspend performance of any and all obligations under the Agreement, hereunder the access to use the Standard Software, without this constituting a breach of this Agreement, until the debt has been settled.
